Factory Service for Accurate, Reliable Operation

To assure continued accuracy and reliability, every Matrx VIP 3000® and TEC 3 vaporizer should be serviced and calibrated annually. Service includes:

• Complete disassembly and cleaning

• Ultrasonic bath to clean internal metal parts

• Calibration and adjustment of Thermo Control

• Reassembly with new seals and wick*

• Cleaning/polishing of exterior parts

Vaporizers ARE NOT field serviceable. Disassembly or service by anyone other than an authorized Factory Service

Technician may result in damage or subsequent unsafe operation of the vaporizer.

VXP™ vaporizer. You will receive a TEC 3 type vaporizer for the agent you specify (isoflurane or sevoflurane). Simply exchange your TEC 3 vaporizer with the Matrx VXP™ vaporizer and return it to the

Midmark Vaporizer Service Center in the shipping carton in which you received your Matrx VXP™ unit.

When you receive your Matrx VXP™ vaporizer mount it on your machine and you’re ready to go. Enjoy no down time and the confidence of a cleaned, calibrated and tested vaporizer.

The Matrx VXP™ Vaporizer you receive has undergone the complete Midmark Vaporizer Service Center protocol.

Our Vaporizer Service Center is staffed with highly qualified service technicians using state-of-the-art equipment. The Matrx VIP 3000

Vaporizer is a sophisticated device and under no circumstance should be tampered with or disassembled by anyone other than an authorized vaporizer service technician. These units ARE NOT field serviceable.

Midmark Product Warranty

SCOPE OF WARRANTY

Midmark Corporation (“Midmark”) warrants to the original purchaser its

Exam Room Casework, Veterinary products and components (except for components not warranted under “Exclusions”) manufactured by Midmark to be free from defects in material and workmanship under normal interior use and service. Midmark’s obligation under this warranty is limited to the repair or replacement, at Midmark’s option, of the parts or the products the defects of which are reported to Midmark within the applicable warranty period and which, upon examination by Midmark, prove to be defective.

APPLICABLE WARRANTY PERIOD

The applicable warranty period, measured from the date of delivery to the original user, shall be as follows:

1. LIGHTING & SEATING PRODUCTS

are warranted against defect in material and workmanship for a period of 1 year from the time of delivery, except dental lights and dental stools which are warranted against defect in material and workmanship for a period of 2 years from time of delivery.

2. STERILIZER PRODUCTS

are warranted against defect in material and workmanship for a period of 1 year from the time of delivery.

3. ULTRASONIC CLEANER PRODUCTS

when used in accordance with manufacturer’s instructions and under normal use, are guaranteed for 2 years after date of shipment. Within the period guaranteed, the manufacturer will repair or replace free of charge, at its sole discretion, all parts that are defective because of material or workmanship, including costs for removing or installing parts. Repairs are made on an FOB repair depot basis. Manufacturer’s liability, whether based on warranty, negligence or other cause, arising out of and/or incidental to sale, use or operation of the transducer elements, or any part thereof, shall not in any case exceed the cost of repair or replacement of the defective equipment, and such repair or replacement shall be the exclusive remedy of the purchaser, and in no case shall manufacturer be responsible for any and/or all consequential or incidental damages including without limitation, and/or all consequential damages arising out of commercial losses.

4. CASEWORK PRODUCTS

are warranted against defect in material and workmanship for the period indicated below from the time of delivery:

(a) Five (5) years for all products and components (except for the shorter periods in [b and c]), including plastic laminate top surfaces, door and drawer fronts, casters and electrical components such as task lights and cords.

(b) Three (3) years for task light ballast.

PowerAir ® , PowerVac ® , DryVac and PowerMax carry a 5-year/3,500 hour warranty. VetPro ® Solo compressors carry a 2-year warranty.

9. MONITORING AND CRITICAL CARE PRODUCTS

carry the following warranty, excluding the shorter periods in section (e):

(a) Cardell ® 9401 & 9402 monitors carry a 3-year warranty.

(b) Cardell ® 9500HD, all MAX-12 monitors, Versaflo™ syringe pumps,

EXCLUSIONS

This warranty does not cover and Midmark shall not be liable for the following: (1) repairs and replacements required because of misuse, abuse, negligence, alteration, accident, freight damage or tampering; (2)matching of color, grain or texture except to commercially acceptable standards;

(3) changes in color caused by natural or artificial light; (4) products which are not installed, used and properly cleaned as required in the Midmark written “Installation” and/or “Installation/Operation” Manual applicable for the product; (5) products considered to be of a consumable nature such as light bulbs and surge suppression product; (6) accessories or parts not manufactured by Midmark; (7) specially manufactured products; (8) damage caused by animals; (9) charges by anyone (including Midmark’s authorized dealers) for adjustments, repairs, replacement parts, installation or other work performed upon or in connection with such products which is not expressly authorized in writing in advance by Midmark. This warranty does not cover sinks, faucets and plumbing accessories. Any warranties on these items are extended directly by the manufacturer of these items to the original purchaser. Information on these manufacturer’s warranties will be enclosed with the applicable products. Also, Midmark will furnish copies of any of the warranties extended by any such manufacturers upon request.

EXCLUSIVE REMEDY

Midmark’s only obligation under this warranty is the repair or replacement of defective parts. Midmark shall not be liable for any direct, special, indirect, incidental, exemplary or consequential damages or delay including, but not limited to, damages for loss of profits or loss of use.

NO AUTHORIZATION

No person or firm is authorized to create for Midmark any other obligation or liability in connection with the products.

THIS WARRANTY IS MIDMARK’S ONLY WARRANTY AND IS IN LIEU OF

ALL OTHER WARRANTIES, EXPRESED OR IMPLIED. MIDMARK MAKES

NO IMPLIED WARRANTIES OF ANY KIND INCLUDING ANY WARRANTIES

OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.

THIS WARRANTY IS LIMITED TO THE REPAIR OR REPLACEMENT OF

DEFECTIVE PARTS.

X-ray Limited Warranty

SCOPE OF WARRANTY

MIDMARK CORPORATION warrants to Buyer that any new product manufactured under PROGENY ® brand name ("Product") will (i) be free from defets in material and manufacturing workmanship and (ii) conform to applicable specifications in effect on the date of shipment. The criteria for all testing shall be the applicable specifications, utilizing factory-specified calibration and test procedures and instruments.

All product warranties and all remedies for warranty failures are limited in time as shown bleow.

DURATION OF WARRANTY

PROGENY ® brand Collimators, Buckys High Tension Cables, X-ray Systems,

Intraoral Cameras and Digital Sensor Systems shall be warranted for a period of two years from the original use date of installation or, thirty months from the date of shipment from PROGENY ® , whichever occurs first. Any component furnished without charge to buyer during the warranty period to correct a warranty failure shall be warranted only to the extent of the unexpired term of the warranty of the original product.

WARRANTY TERMS AND CONDITIONS

Warranty consideration will be given only for products returned to the

PROGENY ® factory properly packaged and if applicable, accompanied by a fully completed Returned Goods Authorization/Service Report.

All shipping charges resulting from Warranty returns are the responsiblity of the Purchaser. Only in the case of repairs effected under Warranty is

MIDMARK CORPORATION responsible for shipping charges.

WARRANTY EXCLUSIONS

The forgoing warranties are exclusive and in lieu of all other warranties, whether written, oral, express, implied or statutory. NO IMPLIED

WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR

PURPOSE SHALL APPLY.

THE WARRANITES AND REMEDIES AVAILABLE TO THE BUYER ARE

CONDITIONED UPON ALL CLAIMS UNDER THIS WARRANTY BEING MADE

WITHIN THE SPECIFIED PRODUCT WARRANTY PERIOD (SEE "DURATION OF

WARRANTY"). THE DATE OF INSTALLATION MUST BE ESTABLISHED BY THE

RETURN TO PROGENY ® WITHIN 15 DAYS OF THE DATE OF INSTALLATION OF

A FULLY COMPLETED WARRANTY REGISTRATION CARD, SUPPLIED WITH

THE PRODUCT. IN THE ABSENSE OF SUCH PROOF, THE DATE OF SHIPMENT

FROM PROGENY ® WIL BE CONSIDERED THE DATE OF INSTALLATION.

Warranty coverage does not incude any defect or deficiency (including failure to conform to Product descriptions or specifications) which result in whole or in part, from (1) negligent storage or handling of the Product by Buyer, its employees, agents or contractors; (2) failure of Buyer to prepare the site or provide power requirements or operating environmental conditions in compliance with any applicable instructions or recommendations of MIDMARK CORPORATION;

(3) the absence of any product, component or accessory recommended by

MIDMARK CORPORATION but omitted at Buyer's direction; (4) any design, specifications or instructions furnished by Buyer, its employees, agents or contractors; (5) any alteration of the Product by persons other than MIDMARK

CORPORATION; (6) combining MIDMARK CORPORATION's Products with any product furnished by others; (7) combining incompatible products of MIDMARK

CORPORATION; (8) improper or extraordinary use of the Product, improper maintenance of the Product, or failure to comply with any applicable instructions or recommendations of MIDMARK CORPORATION, or (9) acts of God, acts of civil or military authority, fires, floods, strikes or other labor disturbances, war, riots or other causes beyound the reasonable control of MIDMARK CORPORATION.

MIDMARK CORPORATION does not warrant any product of others where

MIDMARK CORPORATION serves soley as a distributor or resaler.

BUYER'S REMEDIES

If MIDMARK CORPORATION determines that any Product fails to meet any warranty during the applicable warranty periods, MIDMARK shall correct any such failure either at its option (a) by repairing, adjusting or replacing any defective or non-conforming Product, or defective or damaged part or parts of the Product, or (b) by making available at the place of assembly any necessary repaired or replaced parts or assemblies.

MIDMARK shall have the option to furnish either new or exchange replacement parts or assemblies.

Installation, troubleshooting or repair services are not included in this Warranty.

Warranty of service is the responsibility of the dealer selling the equipment.

The preceding paragraphs set forth Buyer's exclusive remedies and MIDMARK'S sole liability for claims based upon failure of the product to meet any warranty, whether the claim is on contract, warranty, tort (including negligence and strict liability) or otherwise and however instituted, and, upon the expiration of the applicable warranty period, all such liability shall terminate. In no event shall

MIDMARK CORPORATION be liable for special or consequential damages.

2. SPECIAL DESIGN

Orders for equipment of special design, construction, finish or upholstery are not subject to cancellation after your acceptance of our acknowledgement.

Special design products, custom design cabinets and special upholstery

WILL NOT be accepted for credit.

3. RETURN OF MERCHANDISE

Authorization must be obtained for the return of any item. If return is authorized, transportation charges must be prepaid. Items returned for credit are subject to a charge of 25% or more to cover inspection, reconditioning and repackaging. Anesthesia accessory returns are not accepted for rubber goods over 30 days old, rubber goods not in original, sealed package and all hoses. Goods without a Return Goods Authorization

(RA) and merchandise more than 90 days old (from Midmark invoice date) are also not accepted for return.

NOTE: Certain items are manufactured to order and are non-returnable, including

Midmark Casework, Ritter Casework and Care Exchange™ Workstations.

4. FREIGHT DAMAGE

It is the consignee's responsibility to count and inspect upon receiving.

Merchandise arriving with external damage should be described on Proof of Delivery, Delivery Receipt or Bill of Lading. In case of concealed damage, consignee must contact the carrier within 15 days after receipt and claims for damage instituted.

5. IMPROVE PRODUCT QUALITY

Midmark Corporation reserves the right to change design and construction without notice.

6. ORDER CHANGES

Any requested changes to an order within 5 days of the scheduled/ acknowledged ship date will result in an extension to the scheduled ship date. The new ship date will be re-scheduled/acknowledged based on the extent of the changes requested.

7. CASEWORK ORDER CHANGES

Any order changed within 3 weeks prior to the scheduled ship date will result in a change of ship date and may incur additional costs.

8. SPECIAL ORDER REQUIREMENTS

Any order requiring speial deviation from standard products will carry the following disclaimer:

We hereby accept and acknowledge the above captioned order provided, however, because of the special nature of this order in that this equipment is being supplied upon special design specifications, special materials, and/or field modification, as per your request, the standard warranties of Midmark on its products are not applicable to the order, and this acceptance and acknowledgement is conditioned upon your indemnification and promise to hold Midmark, its officers, employees and agents, harmless in respect to any and all warranty claims, damages, both direct and consequential, expenses, costs, and any liability arising from the use of or relating to this special equipment.

9. ANESTHESIA SERVICE AND REPAIR POLICY

Midmark offers evaluation and repair service on Matrx ® anesthesia equipment including Ohmeda, Faser Harlake, Fraser Sweatman and

Cyprane TEC 3. Products returned for repair require a return authorization.

Contact Customer Service at 1-800-643-6275, ext. 88951, to obtain an

(RA) number. Send the product freight prepaid.

Vaporizers returned for servicing also require an (RA). A purchase order number must accompany the vaporizer. Subsequent to servicing, each vaporizer has a separate service and performance record established which is placed on file in the Midmark Vaporizer Service Center in Versailles, Ohio.

Should the need arise to verify that your equipment has been maintained to manufacturer’s specifications, we will be happy to supply this information.
