PART C1: AGREEMENTS AND CONTRACT DATA –
Form of Offer and Acceptance
Offer
The Purchaser, identified in the acceptance signature block, has solicited offers to enter into a contract for
the Appointment of a service provider for the Provision and installation of a security surveillance system
Closed Circuit Television (CCTV) cameras at Sender Technology Park (STP including Ku Band) and
Sentech Tower with a five-year maintenance contract.
The tenderer, identified in the offer signature block, has examined the documents listed in the tender data
and addenda thereto as listed in the tender schedules, and by submitting this offer has accepted the
conditions of tender.
By the representative of the tenderer, deemed to be duly authorized, signing this part of this form of offer and
acceptance, the tenderer offers to perform all of the obligations and liabilities of the Tenderer under the
contract including compliance with all its terms and conditions according to their true intent and meaning for
an amount to be determined in accordance with the conditions of contract identified in the Contract Data.

This offer may be accepted by the Purchaser by signing the acceptance part of this form of offer and
acceptance and returning one copy of this document to the tenderer before the end of the period of validity
stated in the tender data, whereupon the tenderer becomes the party named as the Tenderer in the
conditions of contract identified in the Contract Data.

Acceptance
By signing this part of this form of offer and acceptance, the Purchaser identified below accepts the
tenderer’s offer. In consideration, thereof, the employer shall pay the Tenderer the amount due in
accordance with the conditions of contract identified in the contract data. Acceptance of the tenderer’s offer
shall form an agreement between the Purchaser and the tenderer upon the terms and conditions contained
in this agreement and in the contract, that is the subject of this agreement.

and drawings and documents or parts thereof, which may be incorporated by reference into Parts C1 to C3
above.
Deviations from and amendments to the documents listed in the tender data and any addenda thereto as
listed in the tender schedules as well as any changes to the terms of the offer agreed by the tenderer and
the employer during this process of offer and acceptance, are contained in the schedule of deviations
attached to and forming part of this agreement. No amendments to or deviations from said documents are
valid unless contained in this schedule.
Failure to fulfil any of these obligations in accordance with those terms shall constitute a repudiation of this
agreement.
Notwithstanding anything contained herein, this agreement comes into effect on the date when the tenderer
receives one fully completed original copy of this document, including the schedule of deviations (if any).
Unless the tenderer (now Supplier) within five working days of the date of such receipt notifies the Purchaser
in writing of any reason why he cannot accept the contents of this agreement, this agreement shall constitute
a binding contract between the parties.

1 The extent of deviations from the tender documents issued by the Purchaser before the tender closing
date is limited to those permitted in terms of the conditions of tender.
2 A tenderer’s covering letter shall not be included in the final contract document. Should any matter in
such letter, which constitutes a deviation as aforesaid, become the subject of agreements reached
during the process of offer and acceptance, the outcome of such agreement shall be recorded here.
3 Any other matter arises from the process of offer and acceptance either as a confirmation, clarification or

By the duly authorised representatives signing this schedule of deviations, the Purchaser and the tenderer
agree to and accept the foregoing schedule of deviations as the only deviations from and amendments to the
documents listed in the tender data and addenda thereto as listed in the tender schedules, as well as any
confirmation, clarification or changes to the terms of the offer agreed by the tenderer and the Purchaser
during this process of offer and acceptance.
It is expressly agreed that no other matter whether in writing, oral communication or implied during the period
between the issue of the tender documents and the receipt by the tenderer of a completed signed copy of
this Agreement shall have any meaning or effect in the contract between the parties arising from this
agreement.

2. General
The General Conditions of Contract as per National Treasury of the Republic of South Africa apply.
The goods are specified in the Scope of Work. The Special Conditions of Contract (SCC) are stipulated
in the Tender Data.
3. Goods information:
The Goods Information is in the document called “Scope of Work” and in the documents and drawings referred to
by it.
4. Terms of Delivery
The Terms of Delivery are contained in the General Conditions of Contract (GCC) and Special Conditions of
Contract (Part C3)
5. Language
The language of this contract is English.
6. Governing Laws and Jurisdiction
The Contract shall be governed by and interpreted according to the laws of the Republic of South Africa.
In the event of a conflict between or inconsistency in the laws applicable in the various provinces of the
Republic of South Africa, the law as applied and interpreted in the Gauteng Province shall prevail.
The parties irrevocably submit to the exclusive jurisdiction of the South Gauteng High Court, Johannesburg
in respect of any action or proceeding arising from this Tender.
7. BBBEE codes and Appointment of Suppliers
In terms of the new codes prescribed by the DTI, state owned entities have the responsibility of advancing
Broad Based Economic Empowerment. SENTECH reserves the right to appoint bidder(s) who are a level 4
or below BEE contributor(s).
8. PRE-QUALIFICATION CRITERIA – APPLICABLE TO THIS TENDER
The prequalification criteria applicable for this tender is that Service Providers must a minimum of 30% black
ownership in-order to be eligible to participate in this Tender
9. Appointment of Suppliers
If the recommended bidder is a level 5 or higher or less than 51% black ownership, SENTECH reserves the
right to subcontract up to a maximum of 30% of the project to a designated group as defined by the PPPFA.
If the recommended bidder is a level 5 or higher or less than 51% black ownership on a project that is based
on a stipulated minimum threshold for local production and content as prescribed by the (DTI) Department of
Trade and Industry. SENTECH reserves the right to appoint more than one qualifying bidder provided they
are from a designated group as defined by the PPPFA.

10. Local Production and Content
In the case of designated sectors, where in the award of bids, local production and content is of critical
importance, such bids will contain specific bidding condition that only locally produced goods, services or
works or locally manufactured goods, with a stipulated minimum threshold for local production and content
will be considered.
11. Transformation Plan
If the recommended bidder is a level 5 or higher or less than 51% black ownership, SENTECH will request a
detailed Transformation plan from the bidder with defined timelines and milestones which must be submitted
within 10 working days from the written request failing which Sentech reserves the right to withdraw its
appointment of the preferred recommended bidder. The transformation plan will assist the bidder to improve
their BBBEE level rating and increase black ownership.
12. Communication
The Parties will endeavour to respond within a period of 7 working days after receipt of an enquiry.
13. Warranty
The warranty period is minimum of 12 months after Delivery.
14. Payment
The method and conditions of payment are contained in the Tender data, GCC and Special Conditions of
Contract.
The interest on late payment is 0 % per complete week of delay.
15. Currency
South African registered businesses that purchase equipment overseas and quote in foreign currency will be
required to provide Sentech a 6-month forward cover contract on appointment. The 6 months forward cover will be
re-negotiated and renewed every 6 months should the contract term on this tender be longer than 6 months.
16. Liabilities indemnities and insurance
No insurance is required from the Supplier in respect of delivery and transportation where applicable.
17. Disputes
Should any dispute, disagreement or claim arise between the parties ("the dispute") concerning this
Agreement, the parties shall try to resolve the dispute by negotiation. This entails one party inviting the other
party to meet and attempt to resolve the dispute within five (5) days from the date of the written invitation.
If the dispute has not been resolved by such negotiation as referred to in this clause above, the Parties shall
submit the dispute to the Arbitration Foundation of Southern Africa ("AFSA") for administered mediation,
upon the terms set out by the AFSA secretariat.
Failing such resolution, the dispute shall be resolved by arbitration in accordance with the rules and
procedures of AFSA by an arbitrator appointed by AFSA.
Where the arbitration route is followed, the dispute must be adjudicated within Johannesburg in the English
language and finally resolved in accordance with the rules of the Arbitration Foundation of South Africa, by
an arbitrator or arbitrators appointed by that Foundation.
The provisions of this clause shall not preclude any party from obtaining relief from a Court of competent
jurisdiction. To this extent, the Parties hereby consent to the jurisdiction of the South Gauteng High Court,
Johannesburg, South Africa. The provisions of this clause shall continue to be binding on the Parties,
notwithstanding any termination or cancellation of this Agreement.

18. Termination
The Purchaser shall have the right, at its sole and exclusive discretion, upon written notice to the Supplier, to
immediately terminate this Agreement should the Supplier fail to perform any of its obligations or deliver any
deliverable timeously or should the Purchaser not be satisfied with the quality of any service/s in terms of this
Agreement, to the satisfaction of the Purchaser.
The Purchaser shall furthermore have the right, as a result of such termination, to appoint a third party to
perform the obligations of the Supplier in terms of the Agreement and the Supplier indemnifies the Purchaser
against all costs incurred by the Supplier in appointing such third party to fulfil the obligations of the Supplier.
The Purchaser shall have the right, at its sole and exclusive discretion, to terminate this Agreement upon 30
(thirty) days’ written notice to the Supplier.
19. Contract Term
Once- Off Purchase of CCTV cameras with a five-year maintenance / SLA contract.
Sentech reserves the right to add or reduce the number of cameras required for installation based on
risk analysis of additional NKP requirements

2. INTRODUCTION
Sentech is a state-owned company and is the largest broadcasting signal distributor in Africa.
Sentech is a licensed Electronic Communications Network Service provider in South Africa.
The telecommunications and broadcast facilities at Sender Technology Park (STP) in Honeydew
and the Tower in Brixton has been declared a National Key Point (NKP) and therefore the facilities
must be highly protected and controlled due to legal, security, financial and logistics considerations
as pointed out by the by SAPS NKP unit as well as the SSA in accordance with the provisions of
the relevant Security Plans, Security Manual and the National Key Point Act, 1980 (ACT 102 of
1980), as amended. It is therefore important that we install a security surveillance system (CCTV)
and a security control room to monitor such security systems at the identified NKP facilities.

The code of practice for the wiring of premises
All electrical installations shall comply with all the SABS standards. All electrical equipment,
material and fittings supplied and installed must be in accordance with the specifications and
must be supplied by the contractor. All cabling and wiring required by the security equipment

must be installed in dedicated sleeves, conduits, cable trays or raceways and must be SABS
approved.
The contractor will be responsible for all earthing and bonding of the equipment supplied under
this contract. An earthing point must be provided by the electrical contractor. The contractor
shall provide high quality lightning protection equipment to protect the security equipment. The
earthing and bonding shall be suitable for the lightning protection.
Signage for the security equipment shall be displayed at all entrances and perimeter fences
where the installation is made describing the fact that the area is under 24-hour camera
surveillance. The signs must contain enough information to inform the general person that their
movements are under surveillance. Only high quality signs shall be acceptable.
Training on usage of the equipment shall be provided by the contractor to the operators of the
equipment before commissioning. And a certificate of competency must be issued to the
operators of the equipment.
The cameras must comply with the following:

All cameras shall be IP based.
•
Cameras must have high quality auto iris and auto focus
•
Colour display
•
Cameras to be housed in tamper and weather proof casings.
•
Be able to provide day and night vision
•
Cameras should have motion detection and only activate when there is motion at
the monitored area.
•
Cameras must have facial recognition capability.
•
High quality CCD cameras must be supplied.
•
Depending on area to be monitored be able to operate wirelessly/wired.
•
Be strategically mounted at identified areas
•
Strictly static cameras shall be supplied for the access control areas, perimeter
fence and indoor areas.
•
The perimeter fence cameras must cover a distance not less than 25 meters and
must not have any blind spots.
•
Outdoor cameras be able to operate in adverse weather conditions
•
Dome cameras be provided for indoors.
•
Must meet the minimum SABS requirements.

All access points (vehicle / pedestrian entrances) in the outer perimeter

• The entire IP surveillance system is designed to control and monitor the
SENTECH facilities both at Head Offices and must be expandable to the Sentech
Regional Offices in the future.
• There are three types of cameras which shall be installed to monitor the
movement of the people and Sentech assets as follows:

IP fixed dome camera indoor type

IP PTZ camera outdoor type

IP fixed box camera outdoor type
• IP fixed dome camera shall be installed at the entrances and connecting
corridors of the main buildings, lift lobbies, etc.
• IP PTZ camera shall be mounted on the pole (preferably mast) at different
locations for outside surveillance purpose.
• All cameras shall be true IP camera.
• All outdoor cameras shall be in IP-66 housing.

• All outdoor items for cameras like JBs, power supply, media convertor etc. shall
be in water poof and dust proof housing.
• LAN network being laid by third party would be utilized to extend the IP CCTV
connectivity to central server.
• IP Cameras must be able to be used on POE switches
• Each region must have its own server\system locally communicating to the
central server

• The IP Camera should support a Receiver Driver Unit or a motorized zoom lens

Profile or H.264 video compression standards, by just upgrading the firmware
over the network without dismantling the camera.

• When running on MPEG-4 / H.264 compression, the video codec should support
at least 2 simultaneous streams at resolutions between 4SIF and SIF.
• Each of these streams must be independently configurable to view and record at
different frame rate and resolutions simultaneously.
• Each Video stream should in turn allow for TCP connections, UDP connections
and an unlimited number of Multicast connections.
• Each stream must allow independent configuration of bit rate, frame rate, I frame
interval, rate control mode and motion data.
• All streams must guarantee full frame (25fps) rate under high motion, PTZ
operation and all conditions. A certification from the manufacturer is required to
prove this and will need to be shown during demonstration.
• The IP Camera must support Capped Bit Rate (CBR) control, to enable users to
keep bandwidth utilization under a certain value without compromise on image
quality irrespective of the level of motion in the scene.
• Support up to 1G port
• Each stream Bit-rate should be user configurable from 32 to 4096 Kbps or better
• The IP Camera must be compatible to support advanced analytics software
which should be able to perform the following:

3.2.6
Video Operation Codec Management, Recording and Processing Software
(VOCMRPS)

• VOCMRPS must be a scalable, enterprise level software solution. It must offer a
complete Video Surveillance solution that will be scalable from one to hundreds
of cameras that can be added as and when required. It should allow for seamless
integration of third party security infrastructure. The system MUST be capable of
working on latest Windows OS and Windows Server platforms. Should support
client- server architecture.
• The software must come as one unit and not multiple loadable units and should
support free distribution of multiple clients to multiple machines.
• The software must not have operator seat based licensing. It must allow for any
number of user seats/installations on the IP video network to be added for future
scalability at no management software cost or licensing cost.
• The manufacturer supplied management software pack should open on open
platform/ standard media player.
• The VOCMRPS should allow for video to be streamed on a video mosaic wall.
• All upgrades and releases should be made available free of cost during warranty
period.
• The system shall allow operation with/without a PC keyboard or mouse with
touch screen PC monitors. Once system configured, virtual matrix functions can
be carried out using CCTV keyboards and should have capability to configure
with HDTV.
• The VOCMRPS shall provide the following:
-Automatic search of components of proposed system on the network. They can
be Cameras, Monitors, Alarm panels, NVRs. It should also capture video from
various source like webcam, USB cam etc.
-The system should allow for live view, playback and system configuration of the
IP video system.
-The system should allow for creation of multiple users and user groups and
assign tasks to each.
-Drag & Drop functions for most functions on the system and also for set up of
connection between cameras and monitors and also support to create custom
layout by grouping of cameras from different server/ locations into groups for
more efficient monitoring.
-Several simultaneous live picture connections of camera in network. It should be
capable of showing video pane layouts including 2x2, 3x3, 4x4, 5x5, 8X8 various
Hot Spots (1+5, 1+7, 1+9, 1+12, 1+16) and custom layouts
-System setup for pre-defined surveillance tasks to be invoked at pre-defined
times in the day.

-Programming of automatic recording events on NVR, maybe based on events
such as alarms and video analysis
-Remote maintenance of IP Video components
-Off line construction of site ‘tree’ and addition of devices
-It shall be possible to show text on screen display (OSD) when video is
displayed on a Receiver/Decoder.
-The location of the OSD must be configurable on the screen.
-The system should provide Video Lockout facility where a super-user can
prevent all other users from viewing live video and divert recorded video to
another Networked Video Recorder. The super-user shall also be able to release
the video lockout and restore the system to its original state. It should also
support software watchdog for advance detection of problem & recovery at
server.
3.2.7
The VOCMRPS shall allow the following:
• Live display of cameras
• Live display of camera sequences, salvos and guard tours
• Control of PTZ cameras digital zoom
• Playback of archived Video at speeds of x1/4 – x16
• Retrieval of archived Video using normal playback, thumbnails (motion, event or
time based)
• Instant Replay of Live Video
• Use of site maps and Google map
• Configuration of system settings
• For each camera set up bit rate, frame rate, and resolution shall be set
independent of other cameras in the system. Altering the setting of one shall not
affect the settings of other cameras.
• The Software system should be capable of handling camera and alarm icons on
area maps. The area map should be configurable to pop up upon the receipt of
an alarm received from a video codec on the map. This can be on the same or
other monitors on the PC.
• The Software system should allow direct connection of control keyboard to the
PC workstation running the VOCMRPS for virtual matrix operations.
• The software should be capable of monitoring the status of any camera in the
network and should indicate when a device goes offline by any manner/alert.
• The system should be able to carry out a motion search on recorded video and
highlight motion in the playback bar and also provide motion event based
thumbnails to navigate straight to that event in recording.
• The VOCMROS shall have the following facilities:

Search of recorded images based on motion, congestion, counter flow, time,
date, alarm etc.

Auto-protecting of video recording on post and pre ‘alarm’ images.

Should have facilities for play, forward, rewind, pause along with fast forward
and rewind for reviewing the recorded videos.
• The application should allow for time-synchronized playback of different cameras
together in the same video pane. This will enable the operator to watch playback
of an event in an area covered by multiple cameras from different angles as the
event happens.
• The system must support absolute redundancy. All this should be provided
without a licensing model.
• The system must support video bookmarks, where the system allows the user to
create textual bookmarks at various places in a recorded footage and allow
access to these bookmarks through an intelligent bookmark management
system.
• The system must allow application of sorting and searching filters on bookmarks
for faster retrieval and access to incidents in recorded footage.
• The user/operator must be able to drag a book mark into a video pane and the
video of that book mark needs to start automatically.
• The software must allow for IRIS control of PTZ cameras either through the GUI
or a connected Joystick controller.
2.2.8
Network Video Recorder
• The NVR should have no limitations on the kind of storage to be used (RAID,
NAS, etc.).
• The NVR must be capable of recording 100 cameras simultaneously.
• The NVR must be providing for a disk management system which will
automatically reap old recordings to overwrite with new ones when max disk
usage is reached.
3.2.9
Storage:
• Footage storage of no less than 3 months
3.2.10 Future expansions
The system should be expandable to accommodate future expansions to other
Sentech regional offices and transmission sites and be able to incorporate any other
3rd party security systems without restrictions or proprietary rights.

4. Safety

All equipment and items shall be complete with approved safety devices, wherever a
potential hazard to personnel exists, and with provision for safe access to personnel and
around the instrument for operational and maintenance functions.
Security prohibitions are applicable to all Sentech sites and the service provider and/or the
employees shall be removed from site if found not in compliance with the security
provisions, policy and procedures of Sentech.
Warranty period

The Contractor will repair, correct, or replace any defect of any nature that may occur for a
period of twelve months from the date of the issue of the Certificate of Practical
Completion.
To this end, the Contractor will attend site within 02 hours of the fault being reported. The
defect will be corrected without undue delay. SLA1
To this end, the contractor will hold sufficient stock of spares to allow speedy repair or
replacement of equipment. SLA1
Waiting for manufacturers to replace or repair equipment will not be acceptable. SLA1
The Contractor will provide the employer with details of telephone and fax facilities for
reporting such defects.
The warranty is to include for full maintenance of video recorders in accordance with the
manufacturer’s’ recommendations. SLA1
The contractor will have in operation a system whereby all service visits are recorded on a
multi-part form, a copy of which will be left on site. SLA2
The form will record the date and time of the fault being reported, the nature of the reported
fault, the date and time of the visit and the actual fault together with the remedial work
carried out. SLA2
6. Maintenance
The contractor is to submit a full schedule of maintenance (maintenance plan) to be carried out on
the system during the warranty period and under subsequent maintenance contracts. (i.e. detailed
list of procedures and checks to be performed).
The maintenance schedule must include but not limited to the following:
•
planned overhauls, replacements, inspections, tests and any activity aimed at preventing
failures through maintaining the condition of the system or condition assessments for
corrective maintenance purposes.
•
Breakdown maintenance which includes maintenance that is unforeseen and is necessary
to restore the serviceability and functionality of the system.
•
Bidders will be expected to respond and attend to all the faults.
7. Penalties
A SLA agreement shall be entered into with the service provider with penalties to be incurred
by the service should they fail to conform to the SLA.
7.1 Definition of penalties
SLA1: Total systems failure/server down or failure of devices in one or more areas of the
different sites with negative impact on security operations.
SLA2: Multiple devices are down simultaneously in different areas at different sites.

SLA3: Single failure of a device or components of the systems.
SLA4: Non-critical or minor incident with no impact on security operations.
The following penalties shall apply if the service provider fails to resolve an incident within the
agreed SLA timeline:

7.2 Maintenance and support meetings

Maintenance and support meetings will be held once monthly preferably first week of the
new month with the idea to afford the service provider an opportunity to report on their
performance for the previous month.
All reports must be submitted three days before the scheduled meeting.
The meeting shall be attended by the service provider (preferably account manager,
technical lead and any other preferred candidate by the service provider) and Sentech’s
security, facilities, procurement and IT departments.
If reports are not submitted as per the stipulated timelines Sentech has the right to withhold
payments for the specific month/s.
8. Operating instructions
On completion of the contract, and before the issue of a Certificate of Compliance, the Contractor
will provide a full set of manuals and operating instructions.
This to include comprehensive descriptive brochures and technical manuals for all equipment
forming part of the contract. It should include fitted wiring and schematic diagrams.
An A4 laminated sheet is to be provided with short form operating instructions on one side, and a
site diagram showing camera locations and pre-set positions on the other.

9. Training
Specify what training will be required and over what period.
Sentech reserves the right to add or reduce the number of cameras required for installation
based on risk analysis of additional NKP requirements
