I.
Warranty
A.
FASTCORP(“SELLER”)TERMSANDCONDITIONSOFSALE
1.
PRICES.
All prices, quotations, shipments and deliveries by Seller are F.O.B. Seller's facility. All base prices are subject to
change upon thirty (30) days’ notice and all orders are accepted subject to Seller's price in effect at the time of
shipment..
2.
APPLICABILITY,ACCEPTANCEANDMODIFICATION.
These terms and conditions apply to all quotations and purchase orders covering the sale of Seller's products or
services.Seller'sacceptanceofBuyer'sorderisexpresslymadeconditionalonBuyer'sacceptanceofthetermsand
conditionssetforthherein.Thetermsandconditionssetforthhereinconstitutethecompleteagreementbetween
theSellerandtheBuyer,andmaybeacceptedonlyinaccordancewiththeirterms.Theymaynotbemodifiedexcept
bywrittenagreementreferringspecificallytothesetermsandconditionsandsignedbyadulyauthorizedofficerof
Seller.AnyprovisionsofBuyer'spurchaseorderwhichareinconsistentwiththeforegoingshallbeofnoforceand
effect,unlessSellershallhaveagreedtoamodificationofthesetermsandconditionsinthemannersetforthherein.
Buyer'sfailuretodissentfromthetermsandconditions,orBuyer'sacceptanceoruseoftheSeller'sequipmentshall
constitute Buyer's acceptance of these terms and conditions. Buyer, by these presents and the acceptance of the
goodsorderedhereinrepresentsandwarrantstheBuyerissolventandabletopayforthegoodsinaccordancewith
thesetermsandconditionsofsale.AnyorderacceptedbySellershallnotbeassigned,soldorotherwisetransferred
byBuyerunlessSellerexpresslyagreesinwritingtosuchsale,assignmentorothertransfer.
3.
DELIVERYANDDELAYS.
Seller'sobligationistodeliverthegoodsF.O.B.Seller'sfacility.RiskoflosspassestoBuyeratthemomentofdelivery.
BuyerwillinspecttheproductswithinareasonabletimeafterreceiptthereofandifBuyerfailstonotifySellerwithin
thirtydaysafterreceiptthattheproductsaredefectiveinanyrespect,Buyerwillhavewaivedanyrightsorclaims
againstSeller.OrdersforproductsmadetoBuyer'sspecificationsarenotsubjecttocancellationbyBuyer.Products
made to Buyer's specifications must be inspected and accepted by Buyer before shipment. After shipment, Buyer
shall have no rights or claims against Seller for such products. Delivery dates appearing on Seller's order
acknowledgment,orgiventoBuyerinanyothermanner,areapproximate.Sellerwillnotbeliableforanydelayin
theperformancehereoforforanydamagessufferedbyBuyerbyreasonofsuchdelayitcausedorbytheoccurrence
ofanycontingencybeyondthecontrolofSellerincluding,butnotlimitedto,delaysornon-deliveryarisingdirectlyor
indirectly from fires, floods, substantial damage to its plant, accidents, riots, acts of God, open hostilities,
declarations of national emergencies, war, terrorist acts, governmental interference or embargoes, strikes, labor
difficulties,shortageoflabor,fuel,power,materialsorsupplies,oranyothercauseorcauses(whetherornotsimilar
innaturetoanyofthosehereinabovespecified)beyonditscontrol.Sellershallallocateproductionanddeliveries
amongSeller'scustomersinitssolediscretion.
4.
STORAGE.
IntheeventthatBuyerisunabletoacceptdeliveryofpartsorequipmentatthetimeofcompletionandofshipment,
Sellermayinvoiceforthetotalpurchasepriceasiftheshipmenthasbeenmadeand;(i)ifSellerisabletostoresuch
equipmentinitsownfacilities,theBuyershallpaySellerreasonablehandlingandstoragechargesfortheperiodof
suchstorage;or(ii)ifSellerisunabletostoresuchequipmentinitsownfacilities,Sellerreservestherighttoarrange
handling and storage in a suitable warehouse for the Buyer, at the Buyer's expense. In cases where handling and
storage become necessary, it will become the responsibility of the Buyer to notify Seller when shipment is to be
madeandtowhatdestination.

ADEQUATEASSURANCES.

Sellermay,atanytime,suspendperformanceofanyorderorrequirepaymentfromBuyerincash,securityorother
adequate assurance satisfactory to Seller when, in Seller's sole opinion, the financial condition of Buyer or other
groundsforinsecuritywarrantsuchaction.
6.
TAXES.
AnytaxwhichtheSellermayberequiredtopayorcollect,throughassessmentorotherwise,underanyexistingor
future law upon or with respect to the sale, purchase, delivery, transportation, storage, processing, use or
consumptionofanygoodsorservicesprovidedbySellertoBuyer,includingtaxesuponormeasuredbythereceipts
from sales or services, shall be for the account of Buyer and may be added to the price of goods or services
purchasedbyBuyer.BuyershallpromptlypaytheamountthereoftoSellerupondemand.
LIMITEDWARRANTY.
(A).Subjecttothelimitationsspecifiedherein,theDIVIMerchandisermanufacturedbySelleriswarrantedforfive
(5) years from the date of purchase against defective parts and workmanship for motors, vacuum motors and the
DIVIMerchandiser'sfreezersystemconsistingsolelyofthecompressor,condenser,evaporatorandtherefrigerant
tubingiswarrantedfortwo(2)yearsfromthedateofpurchaseagainstdefectivepartsandworkmanship.Anypart
orpartswhichareproventobedefectivewithintheapplicablewarrantyperiodwillberepairedand/orreplacedfree
ofcharge,providedthat,(i)thereturnofsuchpartorpartsisauthorizedinwritingbySeller'sWarrantyDepartment
(the "Return Authorization"), and (ii) the defective part and a copy of the Return Authorization is returned with
transportationchargesprepaidtothedestinationdesignatedbySeller'sWarrantyDepartment.Alllaborchargesshall
be for the account of Buyer. (iii) Items including but not limited too normal wear, i.e. rollers, hoses, gears are
warranteefortwo(2)yearsfromdateofpurchase.
(B).ThewarrantiesprovidedpursuanttoSection7(A)applyonlytotheoriginalpurchaseroftheDIVIMerchandiser
andarenullandvoidiftheDIVIMerchandiserissoldduringtheperiodofwarranty.
(C).Notwithstandinganythingcontainedhereintothecontrary,thelimitedwarrantiesprovidedforhereindonot
applyto:(i)electricalcomponents,wiring,orcircuits
and/orforallmechanicalpartsorassembliesdamagedasaresultofoperatingtheDIVIMerchandiseratotherthan
115 volts, 60 Hertz current; (ii) incandescent lamps, neon lamps, fluorescent lamps, ballasts, starters, bins and
associated components, graphics or other expendable items; (iii) when other manufactured components are
installedbyBuyerintheDIVIMerchandiser;and(iv)coinmechanisms,billvalidators,currencysystems,telemetry
systems,cashlesspaymentsystems,debitcardreaders,andotheraccessoriesnotmanufacturedbySellerinstalledat
Buyer’srequest.
(D).Sellerisnotresponsibleforanycostofservicerenderedorrepairsmadebybuyeroritsagentsonmerchandise
orpartsunlessauthorizationtoincurexpensehasbeengiveninwritingbySellerpriortoincurringsuchexpense.
(E).SellershallnotbeliabletoBuyerunderthiswarrantyifSellerdeterminesthatthedefectwascausedbymisuse,
abuse, vandalism, improper application, improper operation, improper maintenance, alteration, repair or
modification, negligence or use, casualty, fire, flood, storage, handling or any other cause beyond the control of
Seller.

WARRANTIES,EXPRESSEDORIMPLIED,INCLUDINGWITHOUTLIMITATION,WARRANTIESOFMERCHANTABILITYOR
FITNESS FOR A PARTICULAR PURPOSE. THE BUYER ACKNOWLEDGES AND AGREES THAT NO OTHER
REPRESENTATIONS OR WARRANTIES WERE MADE TO OR RELIED UPON BY BUYER WITH RESPECT TO THE QUALITY
AND FUNCTION OF THE GOODS SOLD HEREIN. SELLER DOES NOT AUTHORIZE ANY PERSON, COMPANY OR ENTITY
WHATSOEVER TO ASSUME FOR IT ANY OBLIGATION OR LIABILITY IN CONNECTION WITH THE SALE OF SAID
EQUIPMENTORANYPARTTHEREOF.
C.
LIMITATIONSOFBUYER'SREMEDIES.
Buyer's remedies with respect to any claim arising out of any order, or Seller's performance in connection therewith,
including,withoutlimitation,anyclaimarisingoutofanydefectorallegeddefectinanygoodsorservicesfurnishedbySeller,
shallbelimitedexclusivelytotherepairandreplacementofdefectivepartsasspecifiedinSection7herein.Withoutlimiting
theforegoing,Sellershallnotbeliableforbreachofcontractarisingoutoforinconnectionwithawarrantyclaim.Innoevent
shallSellerbeliableforanydamagesincluding,butnotlimitedto,lostprofitsorotherincidentalorconsequentialdamages
arisingoutofthisagreementortheuseorinabilitytouseanyoftheproductsincluding,butnotlimitedto,theDIVIFC(plus
anysubsequentdigits)Merchandiser,evenifSellerhasbeenadvisedofthepossibilityofsuchdamages,orofanyclaimby
Buyeroranyotherparty.
D.
WAIVER.
WaiverbySellerofanybreachbyBuyerofanyofthetermsandconditionssetforthhereinshallnotbeconstruedasawaiver
of any other breach or the failure of Seller to exercise any right arising from any default of Buyer hereunder shall not be
deemedtobeawaiverofsuchright,whichmaybeexercisedatasubsequenttime.
E.
GOVERNINGLAW.
II.
ThisAgreementshallbegovernedbytheUniformCommercialCodeasadoptedbytheStateofConnecticutinforceasofthe
date hereof. Buyer consents to the jurisdiction of the state and federal courts within the State of Connecticut. Service of
processbycertifiedorregisteredmailshallbesufficienttocommencesuitandobtainajudgmentbydefault.Buyerwaives
anyrighttopersonalserviceofprocess.Notwithstandinganythingcontainedhereintothecontrary,ifSellersodirects,any
controversyorclaimarisingoutoforrelatedtothisagreementortheperformanceorbreachthereofshallberesolvedby
bindingarbitrationinaccordancewiththerulesandproceduresthenobtainingoftheAmericanArbitrationAssociation.Any
actionorproceedingbyBuyerarisingoutoforinconnectionwiththistransaction,includinganyclaimforSeller'sbreachof
contract or Seller's breach of Warranty, must be commenced within two (2) years after the delivery of the equipment to
Buyer except in the case of a claim for Seller's breach of Warranty relating to the DIVI Merchandiser's freezer system as
providedforhereinwhichmustbecommencedwithinfive(5)yearsafterthedeliveryoftheequipmenttoBuyer.
F.
Credit.
Allinvoicespaidaftertheduedatespecifiedwithinshallaccrueinterestatthelesserof2%permonthorthehighestrateof
interestpermittedbylaw.IntheeventthattheBuyerpaysanyinvoicewithacreditcard,Buyerherebywaives,releases,and
dischargesanyallrightsthatBuyermayhave,underthetermsofBuyer'sagreementwiththecreditcardprovider,todispute,
challengeand/orprotestthepaymentofanySellerinvoice.

Dependingonthefreezermodel,somemachineshavetemperaturecontrollersandsomedon’t.

If available, the temperature may be adjusted by turning the Thermostat Dial located on the
outsidebackofthefreezernexttotheleftfreezerlidhinge.Thescalerangesfrom1whichisthewarmest
setting to 7 which is the coldest. The recommended factory setting is “5”. Three to four hours after
powering up the Vendor, the temperature inside the Freezer should drop to about –10°F / -23°C. The
operating temperature for the standard ice cream and food vendor will vary based on the prevailing
temperatureatthemachine.Typicallytheoperatingrangeshouldbebetween-5°F/-20°Cand-15°F/-26°C.
2.
ExtremeColdMachines
a)
Extremecoldmachinesshouldreachoperatingtemperatureinapproximately4hoursafterbeing
turnedon.Typically,operatingtemperaturerangesbetween-30°F/-34°Cand-40°F/-40°C.Thereisno
Thermostatortemperatureadjustmentmechanismonextremecoldmachines(-40°).Thetemperaturemay
beviewedbypressingthe“*”keywhileinVendingMode(PleaseInsertMoney).

ServicingtheFreezer:
1.
The standard chest freezer inside the DIVI does not self-defrost. The freezer chest requires maintenance
whenicebeginstoaffectthevendcycle,productloading,orclosingthefreezerlid.Therefrigerationsystemdoesnot
requireanymaintenance.Dependingonthelocation’smoisturelevel(relativehumidity)andfrequencyofoperation,
icemayaccumulateinsidetheFreezerabovethelevelofthebins.
2.
FASTCORPrecommendskeepingaplasticicescraper(providedwiththemachine),anda9”by11”pieceof
cardboardorplasticinsidethemachine.Placetheplasticundertheareatobescrapedtopreventtheicefromfalling
intothebins.Thisentireprocessshouldonlytakeafewminutes.Wipetheareawithacleandrytowelafterthefrost
has been removed. This process should be repeated each time the Vendor is serviced to prevent large scale ice
buildupthatwillrequireatimeconsumingfreezerdefrost.

seconds.

Control will direct the freezer to close, set a timer and then Control will proceed to the “Freezer

Removethetwoscrewssecuringthemetalcover.Pullitasidetoexposethemountingbracket,notethat
thiscoverwillremainattachedtotherobotbytheharnessingandbecarefulnottodamagethewires.

The mounting shaft of the Robot Arm is clamped into a mount located on the back cabinet wall. The
mountingshaftisheldinplaceby(4)screws.Useeithera5/16”(8mm)socketwrenchtoloosenthe(4)screws.Do
notremovethe(4)screws.UseonehandtosupporttheRobotArmwhilepullingoutonthetopofthehingedRobot
ArmClamp.Whentheclamphasbeenpulledout,theRobotArmShaftwilldropdownandoutthebottomofthe
mount.TheRobotArmmaynowberemovedfromthemachine.
8.
RemovethereplacementRobotArmfromthepackagingandcarefullyunspooltheharness.TheRobotArm
MountingShaftispointedononesideandhasahorizontal“notch”ontheother.Thepointedsideofthemounting
shaftshouldfacetherearcabinetwallastheshaftisinstalledbackintothemount.Asyouslidetheshaftupintothe
mount,youshouldhearanaudible“click”asthe“notch”slidespasttheclamponthebracket.SupporttheRobot
Armuntilthe(4)retainingscrewsaretight.

Reinstalltheribboncablesandconnectthetwelvepinconnectorandsecuretherobotarmcover.

Plug the (2) connectors back into the VMC Board. It is critical to ensure that the orientation of these
connectors is properly placed since the wire position is essential. Take care not to bend any pins as you seat the
connectors.ReplacethecabletiessothattheRobotArmHarnessispositionednexttotheLidLiftHarnessasitwas
before.TheRobotArmHarnessmustbepositionedclearoftheinnerdoorandouterdoorasthedoorsareopened
andclosed.Takecarethattheharnessesarenotpinchedbyeitherdoor.
11.
Reviewyourwork.MakesurethattheRobotArmfastenersaretight.Checkallconnections.Confirmthat
theRobotArmmovesfreelywithoutbinding.Confirmthatallwiresandharnessesarepositionedcorrectlyandno
wiresarebeingpinched.
12.
TurnonthemachineusingthePowerSwitchontheleftsideofthePowerSupplybelowtheDeliveryBin.
PositiontheDisplayBoardsothatitmaybeviewedfromthebackofthedoor.Pressthe“VAC”buttontounlockthe
keypad.
