The company
Thermics is a company founded on years of experience in the industrial heat exchange
sector and that has extended its experience to the solar energy sector. Thermics promotes

The Thermics solar systems

Pre-assembled solar heat transfer module to load storage tanks for hot water for
heating and buffer storage tanks. A high performance steel plate heat exchanger
“transfers” the solar circuit heat to the storage tank circuit. The BIG EXOL-AR2 is
fitted with a diverter valve to control the double load and improve water stratification.
The EXOL modules are controlled by an electronic control unit that provides RPM
control (function 0-10V) of the primary circuit high efficiency circulator and so
guarantees the best utilization of solar energy.

valve opens closing the 2-way valve on the primary return circuit, avoiding
the passage of the fluid inside the plate exchanger and also avoiding damages caused by ice.

GENERAL CONDITIONS OF SALE
1. INTRODUCTION
1.1 These General Conditions shall regulate the contracts for sale or supply of products by THERMICS ENERGIE Srl (hereunder referred to as "the Seller") indicated in the company's catalogues.
1.2 The catalogues do not constitute a binding offer and can be modified at any time. The technical specifications and
performance listed in the catalogues are approximate and non-binding on the Seller, who reserves the right to make
product modifications at any time.
1.3 Any modification to these conditions shall not be valid unless expressly and specifically accepted in writing by the
Seller.
1.4 These general conditions are valid as of 01.01.2014.
2. ORDERS AND CONTRACT CLOSING
2.1 Orders must be submitted in writing to the Seller, who reserves the right to decide whether or not to accept them.
2.2 The contract is closed at the moment of the Buyer receiving the order confirmation from the Seller. In any case, even
in the absence of a written order confirmation, the contract shall be considered closed and subject to these General
Sales Conditions if the Buyer accepts the products delivered by the Seller on the basis of the purchase order they
have completed.
3. PRICES AND OFFERS
3.1 Product prices are given in the Seller's Catalogue-Price List.
3.2 The prices do not include packaging, transport, insurance, installation and/or assembly, nor any other fees/costs
(taxes, duties etc.), except where explicitly stated in the specific conditions.
3.3 Prices indicated in offers are non-binding and are valid for 3 months from the date of the offer, however the Seller
reserves the right to revoke such offers at its discretion. The Seller, in any case, reserves the right to modify valid offers
whenever product technology and updates require it.
3.4 Whenever the Seller's list prices should change between the closure of the contract and delivery, the prices are
understood to be those in force at the time the order is made.
3.5 Whenever, between the closure of the contract and delivery, the raw materials used by the Seller for product manufacturing should see increases of above 3 %, these changes shall, at the Seller's sole discretion, allow for a unilateral
increase of the agreed prices in the above-mentioned amount.
4. PAYMENT
4.1 Payment shall be made on the basis of the agreed sales conditions.
4.2 Deposits and pre-payments shall bear no interest and must be made directly to the Seller, with a bank cheque made
payable to THERMICS ENERGIE Srl.
4.3 Where direct payment is provided for, this must be made by bank draft or SWIFT transfer to the bank indicated by
the Seller, with exchange fixed to the day in which the payment is due. The Seller may issue a collection order or
draft for the invoice amount, payable on the due date, at the bank indicated by the purchaser, or, failing this, at the
Buyer's local bank.
4.4 Whenever payment is provided for upon goods being available, this must occur within 7 days of notification of the
same.
4.5 In the event of missed payment, total or partial, interest shall accrue on the unpaid sum pursuant to articles 4 and
5 of Italian Legislative Decree 231/02, without prejudice to the Seller's right to request termination of the contract.
4.6 Any partial payment shall not entitle the Buyer to any rights on the goods themselves, and said partial payment shall
be held by the Seller as penalty pursuant to point 9.1 below, without prejudice to their right to claim greater damages.
4.7 Payment terms, whatever they may be, are absolute.
4.8 The Seller may immediately suspend execution of any sales contract closed with the Buyer until the latter has paid
the amount due in full.
5. TERMINATION CLAUSE
5.1 Notwithstanding the above, whenever payment delays should exceed 60 days from the agreed terms, the sales
contract shall be considered legally terminated via written communication by the Seller, declaring that the Seller is
making use of this termination clause.
6. DELIVERY TERMS
6.1 The agreed delivery terms shall run from reception of the order confirmation by the Seller and are not absolute,
unless expressly otherwise provided for. Delivery terms are calculated in working days, and this cannot be less than
five in any case.
6.2 Where advance payment or payment by a financing company is provided for, the delivery terms shall begin on the
reception of said payment or approval from the financing company.
6.3 In the event that it is not possible to complete the supply due to force majeure, chance occurrences or other
events outside the Seller's control, for example (but not limited to) – delays or failures in delivery of components by
the Seller's suppliers; interruption or suspension of transport services or electricity supply; unavailability or scarcity of
raw materials; strikes or industrial action – the delivery terms shall automatically be considered extended from the
date of communication by the Seller of such an occurrence, and for the duration of the same. If a period of 60 (sixty)
days should pass from such a notification without the impediment having ceased, either party may rescind from the
contract by communicating this in writing by recorded delivery with return receipt.
7. DELIVERY AND RISK TRANSFER
7.1 Risk and responsibility for the purchased products shall pass to the Buyer at the moment of delivery to the transport
company, when the goods are loaded onto the vehicles from the Seller's warehouses.
7.2 The choice of shipping company shall be the Seller's, and the date of delivery is that of the issue of the transport
documents.
7.3 Risks due to damage, loss or theft of goods during transport are entirely borne by the Buyer.
7.4 The Buyer shall perform the required checks on receiving the goods to check that they meet the order specifications
in terms of quantity and type. Any nonconformities must be immediately noted on the delivery note. No claims
regarding product type or quantity may be made subsequent to arrival of the goods at the Buyer's premises or the
location indicated by the same in the order.
7.5 In the event of replacements, the goods must be sent to the Seller within three months from initial delivery, and must

be complete and in their original packaging.
8. WARRANTY
8.1 The Seller guarantees its products and components against defects in materials and workmanship which render
them unsuitable for the purpose they are designed for or which reduce their value, pursuant to article 1490 et. seq.
of the Italian Civil Code.
8.2 The length of the warranty for manufacturing defects is 5 years for collectors and tanks, if they should not respect
the requirements of DIN 4757, part 3, and 2 years for all remaining materials and accessories, calculated from the
date of delivery. This warranty shall not, however, apply if the defect is not reported within one week of its discovery,
pursuant to article 1495 of the Italian Civil Code.
8.3 The warranty shall not apply in the event that the defect is not ascribable to the Seller, or in the event of a default or
non-fulfilment by the Buyer of their obligations, for example (but not limited to): Failure to make a payment. A defect
due to one of the following causes rather than a manufacturing or material defect: Damage caused during transport;
nonconformity of the installation to applicable legislation or regulations; installation errors; damage due to chance,
force majeure, such as fire, extreme weather or other causes not the responsibility of the Seller; tampering or
work performed by unauthorised personnel; damage due to anomalies in the electricity network; lack of or incorrect
maintenance; irregular use of or failure to observe the instruction manuals; failure to have start-up and commissioning performed by an authorised technical support centre. Normal wear, defects due to lack of correct and diligent
custody, corrosion or breakage caused by one of the following: stray currents, condensation, corrosiveness of water,
incorrectly performed descaling treatments, freezing, lack of water, scale or sludge deposits, acidity, overheating; use
of non-original spare parts or parts not authorised by the Seller.
8.4 The warranty applies under the following conditions: installation performed according to best practice by a recognised specialised company, following the up-to-date installation instructions provided with each product; written
confirmation has been provided of correct commissioning and periodical checks recommended by the Seller by a
specialised company assigned by the same. The Seller or its nominee, following notification per point 8.2 above,
shall retain the right to perform an inspection of the allegedly defective product in question at the Buyer's premises.
8.5 This warranty is provided free of charge, and parts removed shall become property of the Seller once more. Any
transport, packaging and labour costs are understood to be the Buyer's responsibility for the period indicated.
9. BUYER DEFAULT
9.1 In the event of a serious default by the Buyer of its obligations to make payment within the predetermined times,
to collect the products, or modification of the order is made more than 2 days after reception of the order confirmation, the Seller may retain any payments already made and require payment of a penalty of 20% of the purchase
order total; the Buyer shall be required to pay a penalty of 20% of the purchase order total, which shall be charged
against any payments already made up to this amount, without prejudice to any right to claim greater damages. For
the penalty clause to be valid it is necessary to specify precisely the non-fulfilments which require payment of this
penalty, without general or imprecise terms. Check whether there are any other Buyer non-fulfilments which are to
be penalised aside from those indicated.
10. JURISDICTION AND VENUE
10.1 The court of Udine, Italy, shall have sole jurisdiction over any dispute regarding the interpretation and execution of
this contract, without prejudice to the Seller's right to resort to the Buyer's competent jurisdiction.
