Sealed project proposal are invited from leading Indian IT Companies for setting up an

IT Centre for Training in ECUADOR as per the following schedule. The Tender document is attached. The tender document can also be collected as a hard copy from the below mentioned office if required on payment of Rs. 1000/- (non-refundable) in the form of a Demand Draft in favour of Pay & Account Officer, Ministry of External Affairs,

New Delhi. In case the tender document is downloaded, the sum of Rs. 1000/- in the form of a Demand Draft may be enclosed with the bid.

Firm Overview:

A.

Please provide a brief summary and history of your firm, including year of inception, ownership structure, affiliated and subsidiary companies and relationships, joint venture, business partners, annual turn over and scope of services offered. Also indicate which office would service the client.

B.

Please describe any significant developments affecting the firm in the last five years, such as changes in ownership, re-structuring, personnel reorganization etc.

Broad parameters of the project:

(A) Government of India intends to set up an IT Centre for Training which would have two class rooms for 25 students each for which the host government would be providing the following at their cost:

(i) Requisite physical infrastructure including civil and electrical works, proper AC power sockets in rooms, water supply and furniture.

(ii)

(iii)

Day to day management and running expenditure of the IT centre.

Necessary technical support and administrative staff.

(iv) Security of the premises.

(v) Exemptions from customs and other applicable taxes insofar import of equipment from India or third country is concerned in connection with setting up IT Centre.

(vi) Exemption from paying any taxes etc. for Indian personnel deputed in connection with setting/running up of the IT Centre.

(B) The scope of work for this project is categorized into four parts viz.

(i)

(ii)

Supply of Hardware/Software including their installation and commissioning.

Supply of courseware Books.

(iii) Three trained trainers (faculty) for a period of two years.

(iv) Supply of course-ware kits containing, notebooks, CDs, Media and other customised training material as required.

(v) Operational Charges for training of 2 years.

(C) The following would be the responsibility of the vendor:

(i) Supply of equipments as per specifications (“Schedule of Requirements”-

Annexure - 2) for classrooms as well as for faculty of members.

(ii) Supply of books for the courses as detailed in the tender document for training potential of 600 students in a year.

(iii) Provision of three trainers having good academic background with B.E/ B.Tech/

MCA/ M.Sc (Computers or IT) having 3-5 years experience. The trainer should be on company rolls for at least last 1 year and should be certified on at least one relevant technology platforms viz. Microsoft, Cisco, Oracle and Linux etc. Preference shall be given to Indian

After the completion of the project i.e. setting up of IT Centre as well as training for a period of two years, the centre will be handed over to the host government.

(v) Selection of the students would be decided by mutual consultation of the nodal agency of

Indian side.

(vi) The books will be property of the host government after the handing over of the IT centre to them. If any propriety course material is provided along with the prescribed books , the appropriate rights need to be transferred to host government to use them , including copying.

Terms and Conditions of Bids:

The two bid system will be followed for this tender. In this system bidder must submit his offer in two separate sealed envelopes as explained viz. ‘Technical Bid’ and

‘Commercial Bid’. Commercial bid of those bidders, who do not qualify the technical bid, would not be opened.

A) Earnest Money:

Earnest Money of Rs. 5.00 Lakh (Rupees Five Lakh only) in the form of D/D or Bank

Guarantee in favour of Pay & Accounts Officer, Ministry of External Affairs, New

Delhi has to be submitted along with the commercial bid. The EMD will be returned to bidder(s) whose offer is not accepted by MEA at the earliest. Bids submitted without

EMD will stand rejected. EMD will not be accepted in the form of cash/cheque/FDR or any other form except DD/BG. No interest shall be payable on EMD.

B) Technical Bid: (Envelope No. 1)

“Technical Bid” shall contain:

a.

Duly filled Technical Bid with proper seal and signature of authorized person on each page of the bid submitted.

b.

The detailed technical datasheets (brochures), make & model, part number and compliance to the Schedule of Requirement for which bid is submitted Annexure - 2.

c.

Self Attested copy of VAT Registration certificate, as applicable.

d.

A copy of Certificate of incorporation, Partnership deed/Memorandum and

Article of Association as applicable.

e.

The installation and warranty services are required at ECUADOR on CIF basis. The bidder must provide the plan/arrangement, for installation and warranty service to be provided at site. The bidders should have their own branch office/service centre at ECUADOR on CIF basis. Howewer, if the bidder plans to provide service through local dealer/service provider at

ECUADOR on CIF basis, an Undertaking to this effect should be submitted along with the technical bid. The details name, address, contact person, telephone/Fax, email etc should be provided along with an undertaking from the local dealer/service provider, before the placement of purchase order (If applicable). f.

Bidder must be ISO certified in IT training field. g.

The bidder should have experience of setting of at least one IT Centre involving training also, of value not less than Rs. 4 crores or two IT Centres involving training also, of value not less than Rs.3 crores each. The bidder

must have executed at least one such project overseas. The bidder should have average annual turnover of at least Rs. 4 crores for last two financial years.

h.

The soft copy of Technical Bid ( .doc/.xls format) in a CDR .

i.

Undertaking to the effect that a security deposit of 10% of the order value will be submitted in case MEA decides to place the Purchase Order.

The bid can be submitted in person or through post/courier (MEA shall not be responsible for any postal delays resulting in disqualification/rejection of any bid) so as to reach on or before the date mentioned above. Please write the tender number on each envelope and seal all the envelopes.

INSTRUCTIONS TO BIDDERS (ITB)

6.1

Delivery period / Timelines

The required equipments and related software has to be shipped by air within 10 weeks to the destination air port (Capital of the Country) from the date of signing of agreement for setting up of the IT Training Center with the implementing agency. The time is the essence of this contract. It is mandatory for the bidders who respond to this bid to meet these expectations, as these are tightly linked to the host country to completing the project within the available time frame. The

selected bidder, who would be awarded the contract, would set up the IT centre in all respect within 4 months from the date of signing of the

agreement, with all facilities in place. Any issues pertaining to the completion of responsibilities by the host Govt. shall be intimated immediately in writing to

US (DP) to take necessary actions.

6.2.

Locations for the Supply, Installation & Warranty Services

The equipments (Hardware & Software), Books and courseware have to be supplied at the destination air port (Capital of the Country). Custom clearance and further delivery to the site shall be handled by the host government.

The Hardware, software, servers, courseware books & Kits and other equipment required for setting up and management of the IT Centre at the site are required to be installed at the site of the proposed IT Centre, as given by the host government.

Warranty period of Three years for all equipments including hardware, servers and Network, software (if Any) should be given in the bid.

6.3. Amendment of Bidding Documents

6.3.1

At any time prior to the deadline for submission of bids, MEA may, for any reason, whether on its own initiative or in response to the clarification request by a prospective bidder, modify the bid document.

6.3.2

All prospective bidders who have purchased the bidding document will be notified of the amendment in writing, and such amendments / modifications will be binding on them.

6.3.3 MEA at its discretion may extend the deadline for the submission of bids if the bid document undergoes changes during the bidding period, in order to give prospective bidders time to take into the consideration the amendments while preparing their bids.

Acceptance of Contract Order:

7.1. The successful bidder, on award of contract / order, must send the contract/ order acceptance in writing, within 7 of award of contract/ order, failing which the EMD will be forfeited and the order will be placed to the next successful bidder.

7.2. The EMD shall be forfeited:

(i)

If the bidder withdraws the bid during the period of bid validity specified in the tender.

(ii)

If the bidder fails to furnish the acceptance in writing, within 7 days of award of Contract / Order.

Period of validity of bids:

8.1

Bids shall be valid for minimum 90 days from the date of submission. A bid valid for a shorter period shall stand rejected.

8.2 MEA may ask for the bidder’s consent to extend the period of validity. Such request and the response shall be made in writing only. The bidder is free not to accept such request without forfeiting the EMD. A bidder agreeing to the request for extension will not be permitted to modify his bid.

Deadline for Submission of Bids:

The Bid shall be neatly arranged, plain and intelligible. Each page of the bid should be signed. They should not contain any terms and conditions, printed or otherwise, which are not applicable to the Bid. The conditional bid will be summarily rejected. Insertions, postscripts, additions and alterations shall not be recognized, unless confirmed by bidder’s signature.

9.1

Bids must be received by MEA before the due date and time at the address specified in the tender document. In the event of the specified date for the submission of bids being declared as a holiday for MEA, the bid-closing deadline will stand extended to the next working day up to the same time.

9.2. MEA may, extend this deadline for submission of bids by amending the bid documents and the same shall be suitably notified in the media.

Any bid inadvertently received by MEA after the deadline for submission of bids, will not be accepted and returned unopened to the bidder.

10.

Award of contract and criteria

10.1. MEA shall award the contract to the lowest commercial bidder after short listing the bidders through technical bid compliance.

10.2. The bidder has to quote for all the items as mentioned in the tender document. The bidder is not allowed to quote for selected items of the part and must quote for all the items in that part.

10.3. If more than one bidder happens to quote the same lowest price, MEA reserves the right to split the order and award the contract to more than one bidder.

11.

Purchaser’s Right to amend Scope of Work:

If, for any unforeseen reasons, MEA is required to change the Scope of

Supply, this change shall be acceptable to the bidder without change in the unit price quoted.

12.

Corrupt or Fraudulent Practices.

12.1

MEA requires that the bidders who wish to bid for this project have highest standards of ethics.

12.2. MEA will reject a bid if it determines that the Bidder recommended for award has engaged in corrupt or fraudulent practices while competing for this contract

12.3. MEA may declare a vendor ineligible, either indefinitely or for a stated duration, to be awarded a contract if it at any time determines that the vendor has engaged in corrupt and fraudulent practices during the execution of contract.

13. Interpretation of the clauses in the Tender Document / Contract Document

In case of any ambiguity/ dispute in the interpretation of any of the clauses in this

Tender Document, MEA’s interpretation of the clauses shall be final and binding on all parties.

14.

Special Conditions of Contract (SCC)

14.1

The price quoted shall be considered firm and no price escalation will be permitted.

14.2 Bidders must quote the price in the format given in Price Schedule of this document.

14.3

Bidders must quote the price in Indian Rupees only.

14.4

Bidders shall arrange to dispatch the required equipments as explained above at the destination airport (capital of the country) at their own cost and also arrange its installations at the project site.

14.5

Bidders shall ensure proper transit insurance of the goods to prevent their damage or deterioration.

14.6

The packing shall be sufficient to withstand, without limitation, rough handling during transit and exposure to extreme temperatures, salt and precipitation during transit and open storage. Packing case size and weights shall take into consideration, where appropriate, and the remoteness of the goods final destination and the absence of heavy handling facilities at all point in transit. However risk in good shall continue with supplier till goods are delivered at the airport.

14.7

MEA will not entertain any claim of bidder(s) on account of any damage of the equipments etc. for its dispatch at any transit point or at its final destination.

15.

Bank Guarantee (Performance Guarantee):

The successful bidder will have to deposit a bank guarantee equivalent to 10% of the total project valid for three years or 3 months after the date of completion of the project whichever is later. The date of PG may be taken from the date of setting up the IT Centre.

16.

Payment Terms:

16.1

Payment will be made in Indian Rupees as per the following schedule: -

16.2

10% of the cost of setting of IT Training Centre as advance within 45 days of the signing of the agreement against submission of the Bank Guarantee of the equivalent amount from a nationalized bank;

16.3

70% of the cost of setting up IT training centre will be paid after setting up of IT Centre and obtaining of certificate from our Mission.

16.4

50% of the total cost of Kits and Books and 50% cost of the operational and trainers charges for first year at the beginning of the training to the students in the first year and delivery of kits and books required for the year.

16.5

10% of the cost of setting of IT Training Centre, 50% cost of the operational and trainers charges of the first year, 40% of the total cost of Kit and Books and 50% of the cost of operational and trainers charges for the second year, at the time of beginning of the second year of the training and delivery of kits and books required for the year.

16.6

Balance 10% of the cost of setting IT Training Centre, 10% of the total cost of Kits and Books and 50% cost of operational and trainers charges for the second year, after completion of training in second year.

17. Liquidatory Damages:

If there is delay in set up of the IT training centre beyond the stipulated time frame of 4 months, a penalty of 0.5% per week, subject to a total of 5% of the project set up cost would be levied upon the vendor.

If reasons for delay are not directly attributable to the vendor, Ministry may consider granting extension of time.

However, Delays due to customs clearance at destination airport should be indicated beforehand to the Ministry for help from the mission in expediting the same.

19.

Warranty:

The hardware/software supplied by the vendor shall be subject to warranty period of 3 (Three) years, along with the vendor ensuring full and complete maintenance of the same for the entire project period (till handing over the same to the Government of Ecuador).

These goods shall be delivered at the proposed centre without any further financial obligation on the part of this Ministry.

Taxes and Duties:

The basic prices and applicable taxes should be mentioned separately, the exact rates of taxes applicable, if any, as on the date of quoting must be mentioned. No concessional tax form will be given by MEA.

Force Majeure:

MEA may consider relaxing the penalty and delivery requirements, as specified in this document, if and to the extent that, the delay in performance or other failure to perform its obligations under the Contract is the result of an Force

Majeure is defined as an event of effect that cannot reasonably be anticipated such as acts of God (like earthquakes, floods, storms etc.), acts of states, the direct and indirect consequences of wars (declared or undeclared), hostilities, national emergencies, civil commotion and strikes at the bidder premises or in the country where IT Centre is to be set up.

21.

Arbitration:

This agreement is based on both the immediate benefits and on developing and building enduring relationships serving and safeguarding the technical and commercial interests of the Parties hereto. Hence any question, doubt or dispute arising out of the interpretation of any term or usage herein or on the implementation and functioning of the various understandings forming a part of this agreement shall be resolved by the heads of the two organisations or their authorised representatives for the purpose mentioned herein by discussions and negotiations based on consensus in the spirit of developing and strengthening the mutual relationships.

Parties to the contract, in case of a dispute arising out of or in connection with this contract, or in respect of any defined legal relationship associated therewith or derived therefrom; not resolved as per above clauses; shall agree to submit that dispute to arbitration under the ICADR, Arbitration Rules, 1996.

The authority to appoint the arbitrator(s) shall be the International Centre for Alternate

Dispute Resolution, New Delhi.

The International Centre for Alternate Dispute Resolution, Ministry of Law, Govt of India, will provide administrative services in accordance with the ICADR Arbitration Rules,
