BIDDINGING PROCEDURE & INSTRUCTIONS
1) The Tender Document can be downloaded from COMFED’s website www.compfed.co.in Or it can be
received through e-mail request.
2) Bidders are advised to read the terms and conditions including instructions contained in the Tender
Document carefully and the Bid Documents may be submitted with full understanding of its implications.

3) The prescribed Tender Document consists of (i) Technical Bid and (ii) Financial Bid, both the bids shall be
sealed separately in two different envelopes, superscribing “Technical Bid” and “Financial Bid”, as the
case may be and l be placed in separate single envelope duly sealed and superscribed “Bid for
Networking Equipment ” which shall be submitted on or before the Due Date.
4) The technical bid envelope should consist of cost of Tender Document and Earnest Money Deposit
(EMD) as mentioned at para 1.01 above , payable through two separate Demand Drafts or Banker’s
Cheques drawn in favour of “Bihar State Milk Co-operative Federation Ltd.” payable at Patna. No
other mode of payment shall be accepted.
The bidders who are registered with Central Purchase Organisation / State Purchase Organisation /
National Small Industries Corporation (NSIC) or the concerned Department are exempted from
furnishing the EMD.
The EMD of unsuccessful bidders shall be refunded without interest within three months of the finalization
of the tender. The EMD of successful bidder to whom the purchase/ work order issued, will be retained
as a part of Security Deposit.
5) The tender proposal should remain valid for minimum 180 days from the date of opening of Tender.
6) The bidder is required to submit the published hard copy Tender Document duly sealed or stamped and
signed by the authorized official. The entire tender proposal containing the Tender Documents,
Annexures, Brochures, Data Sheet or any supporting documents etc. should be properly stamped,
initialed by the authorized officials. All Tender Proposal pages should be serial numbered and properly
indexed.
7) The Whole Technical Bid Document should be prepared and submitted in two Parts- Part-I : PQ Form
and their enclosures and Part-II- Technical Requirement & Evaluation Form (T.R.& E. Form) and their
enclosures.
8) The Pre-Qualification Criteria cum Evaluation Form i.e. [PQ Form] should be filled up by the Bidder with
the desired information in details and be referred with the Tender Proposal Page Number. If the
information written in the PQ Form mismatches with the information contained in the referred
enclosure’s page sheet of Tender Proposal or no enclosures are attached or referred, then it will be
considered as NON-RESPONSIVE. The bidder shall be declared as PQ Successful based on the
responsiveness of the PQ Form and only for those bidders; the Technical Evaluation shall be considered.
9) The Technical Evaluation will be done based on the information filled up in Technical Requirement &
Evaluation Form (T.R &E. Form) and verification of that information with relevant enclosures like
Annexure, OEM’s published Data Sheet or Brochures provided with the bid Document. The specification
contained in the Tender Document is the minimum which is a must and should be complied by the
bidder.
If there is a mismatch of information or irrelevant reference is made or the offered
specifications are below of the required specification then it will be considered as NONRESPONSIVENESS on that particular point. The bidder shall be declared Technical Successful based on
the responsiveness on the critical technical specification requirement and only for those bidders, the
Price Bid shall be considered.

10) The Price bid of Technically Qualified bidder shall be opened in presence of the interested bidder
whosoever wish to remain present, for which a short notice shall be issued separately through e-mail or
courier.
The Price should be in Indian Rupees and the price should consist of unit price and the total price of
goods and services offered showing the applicable taxes, duties, levies, work contract, service tax etc.
and it should be F.O.R destination i.e. Patna/Hajipur basis. The prices of any add-on or optional items
should be submitted separately. Prices quoted must be firm and final and shall not be subject to any
upward modifications on any account whatsoever.
The price of all Bill of Material and services Offered may be equated wherever required with a view to
equate or make comparison with the other bidders.
11) The bidder should ensure the timely submission of tender documents through Courier / Speed Post to
Managing Director, Bihar State Milk Co-operative Federation Ltd. (COMFED) , Dairy Development
Complex, Post- BV College, Patna- 800 014 by 3.00 p.m. on or before the due date. The tender bid may
be submitted in person in the Tender Box within due time & date. The cover should consist of name and
complete address of the bidder. Tender/ Bid received after the stipulated date and time shall not be
considered.
12) All the terms and conditions contained under the Chapter of General Terms & Condition or Terms
specifically mentioned under the Scope of Work or any other terms mentioned in the Tender
Documents shall be acceptable to Bidder. No change in terms or conditions by the bidder shall be
accepted and the conditional offers may invite non-consideration.
13) COMFED reserves the right ;(a) To forfeit the EMD/ Security Deposit of the successful bidder on submission of false information/misguidance/ non-acceptance or Non-compliance of offer in full or part at any stage.
(b) To seek any clarification or verify the credentials or documents submitted by the Bidder, which are
deemed to be necessary to decide this tender.
(c) To accept or reject any or all offer(s) in part or full without assigning any reason thereof, before the
award of the contract.
(d) To maintain the confidentiality of information relating to examination, clarification and evaluation of
tenders and recommendations concerning awards until the successful bidder is notified of the
award of contract.
(e) To reject the proposal if the bidder is directly or indirectly engaged in corrupt, fraudulent, collusive or
coercive practices while competing the tender and to blacklist the bidder for future transactions.

CHAPTER-02
SCOPE OF WORK (SOW)
The scope of work shall include supply, installation, commissioning, testing and integration and
maintenance of Networking Equipment & other accessories required for successful testing of the offered
Network solution & Software and LAN, Passive Networking inclusive of all materials, accessories and
cables.
2.01
SUPPLY OF NETWORK SOLUTION
a) The Supply of Networking solution shall include the followings, however any other items (Hardware,
Software, Licenses, including tools etc) not specifically indicated in tender but required to make the
Hardware Solution fully operational will also be in the scope of this Tender

b) The specifications indicated in the Tender are minimum and the Bidder is required to comply and quote
for all equipment and services mentioned in this Tender. Partial offer or in-complete offer shall not be
considered.
c) The Networking Solution including equipment & software as mentioned above at serial no. 01 to 07
should be one OEM, however internet firewall and LAN Networking & Passing Networking may be of
different OEMs but there should not be any compatibility issue with the Equipment offered under
Network Solution.
d) Bidder shall be responsible for the overall integration of the Networking Equipment with the Data
Center, Server and Storage Solution being installed at COMFED, Patna, VPMU, Fulwari sharif,
Jagdeopath and Hajipur Plant/ Offices.
e) The Networking Equipment should be offered with Annual Maintenance Support of the items offered for
the Five (5) years from the date of Successful Installation & acceptance testing which shall include the
OEM’s standard warranty support for the products offered.

f)
Bidder should quote the price of individual item or equipment offered on per unit basis and the rate for
Local Area Network should be per rft (running feet) basis including the accessories required for LAN in
Price Bid Chapter- PART-“A” – COST OF SUPPLY ITEMS. The Quantity for LAN is indicative only with a view
to determine the total cost based on a fixed quantity however the payment shall be made as per the
actual quantity.
The cost of the Warranty other than the standard warranty period should be quoted separately in
PART- “B”- COST OF WARRANTY OR ANNUAL MAINTENANCE CHARGES.
g) The bidder shall provide the following information in respect of all the equipment quoted/ offered:i.

End of Sale Date by the OEM
iii.
End of Support Date by the OEM if any.
No product or any of its sub-components should be offered if the declared End of Sale Date is prior to
the date of opening of this Tender. The declared End of Support date shall must not fall within the
Warranty and AMC period sought under this tender. If any product is declared End of Support after
opening of Tender and the Warranty Support expires within the currency of the contract, the bidder
shall replace such product or equipment free of cost and bear all the costs or loss involved in such
replacement.
h) All Hardware and software supplied must be IPVer 6 ready. A reference to the Published Documents
should be mentioned.
i)
The bidder should specify the standard model make, processors, Part Number of item, their
Name/Particulars and Quantity of each component in the detailed Bill of Material.
j)
The supply shall include all peripherals, accessories, sub-components required for the functionality and
completeness of the supplied items or equipment including the software, licenses, tools, cables, patch
cords etc. for successful installation, commissioning, integration and testing thereof. The licenses of all
the software installed in the system shall be in the name of “Bihar State Milk Co-operative Federation
Ltd., Patna ” on perpetual basis along with the maintenance, upgrades/ updates.
k) All Hardware supplied to COMFED shall be brand new, un-used, and non- refurbished in all respects and
belonging to the recent batch of manufacturing / latest technology in its class; and recently launched
as applicable.
l)
The bidder shall supply minimum one Hard Copy and two Soft Copies of Operational, Maintenance and
Administration Manual & Documents for each equipment supplied.
m) The bidder shall arrange for the functional testing and demonstration of systems supplied.

2.02
DELIVERY
The delivery of items covered under Networking Solution as mentioned under para 2.01 and or other
equipment/ material required for successful installation shall be made to the following Site:DC Core Switch, Server Farm/DMZ Switch, Access COMFED, Dairy Development Complex
Switches, Core Router, Branch Router, Internet PO- BV College, Patna-14, Bihar

The arrangement for transportation, insurance, transit storage, loading & unloading at the installation
Sites in the premises of COMFED and VPMU shall be at responsibility of the Bidder.
2.03
INSTALLATION, COMMISSIONING, INTEGERATION & TESTING OF EQUIPMENTS
1) The Bidder shall be responsible for installation, commissioning, integration and testing of the
Goods/Services at the destination sites and for making them fully operational.
2) All the items or equipment offered should be tested at factory level and their Performance Report
issued or generated by the OEM should be made available by the Bidder.
3) The acceptance test which involves the operation of the complete Goods/Services shall be
conducted by the Bidder in the presence of COMFED and VPMU’s Official or authorized officials
and/or any other agency nominated by COMFED. All expenses or special devices, if any, required
for installation, commissioning, configuration and testing of the Goods/Services shall be borne by the
Bidder. The Acceptance test should be completed within 60 days.
4) The above tests shall demonstrate the satisfactory operation of all equipment supplied both
individually and as an integrated system. System testing schedules or additional test schedules to
test specifications for individual items of units of equipment. The simulation equipment shall be
provided by the Bidder wherever necessary, to simulate all input and output functions on the text
configuration. All functions shall be tested including but not limited to :
a. Power failure and restoration.
b. All combinations of permissible voltage and frequency variations
c. Limiting signal-noise ratios on date carrying circuits.
d. Maintenance and testing facilities.
5) In order to qualify for acceptance, the equipment must, as a complete system, operate for thirty
(30) consecutive days, 24 hours a day, at 99.5% up-time efficiency. Up time is defined as productive
and error-free time of the computer system using the Manufacturer’s standard test procedures. Any
un-utilized time, during the tests, will also qualify as up-time provided there are no hardware
malfunctions. During the aforesaid 30 days period the COMFED shall be permitted to make use of
the equipment for running any or all of their programmes.

The up-time efficiency will be computed as follows:

In case the required up-time efficiency is not obtained as mentioned in Clauses, the equipment will
be run for an additional number of days till the efficiency of 99.5% is achieved. This will be
evidenced by a certificate of acceptance duly signed and/or countersigned by representatives of
the COMFED and or VPMU which shall be deemed to be acceptance of the equipment.
6) Should the Acceptance Tests not be concluded to the satisfaction of the COMFED within the said
sixty (60) days from the installation of the Equipment, the Bidder shall repair or replace, at their cost,
the whole or any part of the equipment as may be necessary for conclusion of the acceptance
tests to the satisfaction of COMFED within a further period of forty five (45) days failure to which all
costs including the advance or cost of supply paid, incidental costs and interest @10% on amount
paid so far, shall be refunded by the Bidder or will be recovered from the payable amount if any.
2.04
WARRANTY & MAINTENANCE
1) This bidder shall offer Standard warranty of the OEM valid for minimum for 36 (Thirty six) months in
respect of Supply of Networking Items/ Equipment and 12 (twelve) months in respect of others which
shall be valid from the date of Acceptance Testing of the Equipment at a reasonable price and on
a continuity basis.
The Bidder should submit the OEM’s Authorization for the Extended Warranty Coverage valid for five
(05) Years inclusive of Standard Warranty Support Period.
2) The Standard and Extended Warranty shall include the Onsite Services and Value Added Services
which shall cover supply of parts for repairs or replacement, cost of service engineers or wages and
all other incidental expenses required for repair, replacement and support of item or equipment
during the warranty coverage. The bidder shall ensure the comprehensive onsite support on 24X7
basis for the Equipment supplied from the OEM for respective component. All shall should have
understanding of Service Level Agreements (SLA) between COMFED and Bidder and an
undertaking from all OEMs shall be a part of the SLA confirming the comprehensive support
arrangement.
3) The bidder warrants that the Goods supplied under the Contract are new, unused, of the most
recent or current models and incorporate all recent improvements in design and materials unless
provided otherwise in the Contract. The bidder further warrants that he Goods supplied under this
Contract shall have no defect arising from design, materials or workmanship (except insofar as the
design or material is required by the Purchaser’s Specifications) or from any act or omission of the
Vendor, that may develop under normal use of the supplied Goods in the conditions prevailing in
the country of final destination.
4) The bidder warranties that spare parts for the system would continue to be supplied even after a
period of five years as indicated above, and that however, before phasing out or discontinuation of

production of any of the spare parts, required for the maintenance of the item or Equipment,
bidder will give at least twelve (12) months’ notice prior to such discontinuation to COMFED.

5) The relevant documents including the Maintenance Manual shall be supplied for installation,
maintenance, servicing and operation of the equipment. The maintenance manual shall contain a
description of the complete hardware system and maintenance procedures. The hardware
description shall start with the overall configuration of the system with layouts showing the location
of every unit with block diagram and explanation of operation. The detailed descriptions of
component units shall explain their operation. Block diagrams showing the flow and interaction of
date and logic diagrams shall be provided. Part list and wiring schedules shall be provided, but care
shall be taken to avoid obscuring of the operational description. Maintenance procedures shall
cover the diagnosis of faults, testing and setting up adjustments, replacement of units, routine
mechanical servicing, if any, and operation of test equipment.
6) COMFED shall promptly notify the Bidder in writing of any claims arising under this warranty. Upon
receipt of such notice, the Bidder shall, with all reasonable speed, repair or replace the defective
Goods or parts thereof, without prejudice to any other rights which the COMFED may have against
the Bidder under the Contract.
7) If the Bidder, having been notified, fails to remedy the defect(s) within a reasonable period,
COMFED may proceed to take such remedial action as may be necessary, at the Bidder risk and
expense and without prejudice to any other rights which the Purchaser may have against the
Vendor under the Contract.
8) The bidder shall furnish the details of back up engineering and systems support that will be available
to COMFED. If the maintenance of the system, after expiry of the warranty period, is taken over
either by COMFED or any other person / agency to be nominated or authorized by COMFED, the
bidder shall have the responsibility for supply of spare parts and back up maintenance support
required by COMFED or that agency and shall continue to make available the spare parts.
9) The system must be capable of withstanding power failures and must not get damaged due to ‘trip
outs’. It should be capable of withstanding permissible voltage and frequency variations without
any damage to equipment or loss of information
10) Repair and maintenance of all systems or equipment covered under the contract including all
labour, replacement of parts, modules, sub-modules, assemblies, sub-assemblies, spares etc to
make the system operational. This will include all kind of breakdown maintenance. The breakdown
could be for any reason, whatsoever.
11) In case the Bidder is not able to repair the original equipment, the Bidder shall supply the new
equipment of same make, model & specification or substitute of same make, or of higher
specification. Failure in doing so will attract deduction as per Service Level Clause.
12) Corrective maintenance has to be carried out by the Bidder as and when required. Maximum time
allowed between faults reported and fault attended/ repaired for all faults together for particular
equipment shall not increase more than that as mentioned under the clause for resolution time

13) The Bidder shall carry out preventive maintenance on a quarterly basis for each of the Good or Item
or Equipment covered under this contract and maintain the data sheets for all which will contain
the configuration of each system and dates of Preventive or Breakdown maintenance carried out
by the Bidder.
14) The Bidder shall submit or maintain record of completed service report, along with signature from
authorized official of COMFED and VPMU ensuring satisfactory completion of the job.
2.05
SERVICE LEVEL AGREEMENT
SERVICE WINDOW shall be like the followings:The Service coverage for the Hardware, Software and Connectivity Maintenance (also called Equipment
Maintenance in this document) during Warranty and Post Warranty period shall be round the clock on all days
of the year.
(i)Criticality of Services:
The Tenderer shall attend the jobs according to the following mentioned criticality level in Hardware AMC
Services within specified time frame i.e. Resolution Time”. The criticality level - 1 is the highest priority.

(iii) RESPONSE TIME:
It is the time taken by the Bidder to attend the Equipment Maintenance call after the logging of the call.
(iv) RESOLUTION TIME:
Resolution time is the total time taken by the Bidder between registering the complaint and rectifying the fault.
This time includes time taken to reach the site, diagnose, repair / replace the faulty
component/module/device. The bidder shall ensure that the faulty device, server, peripheral, component etc
are repaired/ brought back to the service within specified resolution time, failing which the deduction clauses
will be applicable as per Service Level clause below.

CHAPTER- 03- GENERAL TERMS & CONDITIONS
3.01
SECURITY DEPOSIT
The successful bidder shall submit Security Deposit amount equivalent to 10% of the purchase order or
contract value payable through Bank Draft or in the form of Bank Guarantee as per COMFED Bank
Guarantee Format within 15 days of issuance of purchase order or contract. The requisite Bank
Guarantee shall be sent by the bidder’s bank (i.e. BG issuing Bank) in Banker’s Sealed Envelope directly
to COMFED. The Security Deposit Bank Guarantee shall be valid for 60 days beyond the tenure of
contract including post- commissioning of Supplied Items or Equipment.
In the event of failure to execute the contract satisfactorily or default by you, the above Security
Deposit shall stand forfeited. No interest is payable on such Security Deposit.
3.02
PROFESSIONAL LIABILITY INSURANCE
The Applicant shall take out Professional Liability Insurance with COMFED as the Sole Beneficiary for a
sum equivalent to 10% of the total purchase order value. The Professional Liability Insurance will be valid
till expiry of 24 months from the date of complete execution of entire contract. Such provision, however,
will not restrict or eliminate the liabilities in law in any manner whatsoever of the bidder.
3.03
LIABILITY FOR DEFECTIVE WORK
The successful bidder shall ensure satisfactory performance for a period of 3 years (Warranty Period)
starting from the date of commissioning of respective servers and shall provide all the Technical Support
free of cost in the Warranty period. In case it is required to carry out any modification and/ or
rectification due to faulty services or supply of defective items by the Bidder, the bidder shall change
the defective items. In addition to this, Bidder will be liable for reduction in compensation, subject to
ten percent (10%) of the total Contract Value. 10% of the total Contract Value will be retained (from the
bills) for a period of 2 years, as aforesaid, for the said purposes.
3.04
DELIVERY & INSTALLATION
The timelines for delivery shall be considered as per para 4.05 as mentioned in Tender Document
effective from the date of issue of Purchase Order to the Bidder. The delivery Place shall be as per Para
no. 2.02 of the Tender Document.
3.05
LIQUIDATED DAMAGES
Subject to force majeure, if the bidder fails to deliver any or all of the Goods or to perform the services
within the time period(s) specified in the work contract, COMFED shall without prejudice to other
remedies under the contract, as liquidated damages, a sum equivalent to 1 per cent per week or part
thereof of the contract value of the undelivered or unperformed services , subject to maximum of 10%
of the total contract value.
Once the maximum value of Liquidated Damages is reached, COMFED shall have the liberty to
consider the termination of the contract.
If the bidder fails to secure acceptance of the goods or materials supplied by the Bidder within 180 days
of the arrival of the materials at COMFED ‘s site , it is agreed that COMFED reserves the option to
recover from the bidder as Liquidated Damages and not by way of penalty after 180 days.

3.06
PAYMENT TERMS
Payment shall be made by COMFED only after completion of supply, installation commissioning and
acceptance of the Goods/Services mentioned in the schedule, to the entire satisfaction of COMFED or
any other agency nominated by COMFED.
(a)
Payment of Supply Items
i.
30% of cost of value of Goods/Services as Advance against the submission of equivalent
amount of Bank Guarantee, which shall be valid for 60 days more than the stipulated
completed time.
ii.
60% payment against satisfactory installation, commissioning and testing of the Goods/Services
supplied/ created within 30 days of the issuance of installation and completion certificate.
iii.
Balance 10% payment after three months of successful operations of testing installation of
against acceptance of Goods or Items or Equipment including the final GO Live of all the
equipment like Server, Storage, Networking and Data Center Equipment.
iv.
In case the acceptance of the Goods/Services is delayed or put off beyond 90 days of the
installation of Goods/Services at COMFED’s sites due to express written instructions of the
COMFED, this 10% amount may be released to the Bidder on furnishing a necessary Bank
Guarantee for the equal amount.
(a) Payment of Warranty and AMC
(a) Payment of Extended Warranty and Annual Maintenance Charges will be made on
quarterly basis after completion of Jobs and submission of bills.
(b) No payment shall, however, accrue until after the Performance Guarantee Bond for 15% of
the Value of Extended Warranty for the first year is submitted.
3.07
CHANGES IN ORDERS
COMFED may at any time, change the order or assignment within the general scope of work in any one
or more of the followings:a. Drawings, design and specifications, where the Goods are to be supplied;
b. The place of delivery and method of delivery;
c. The services to be provided by the bidder;
d. Increase or decrease in quantities;
3.08
CONTRACT AMENDMENTS
No variation or modification of the terms of contract shall be made except by written amendment
signed by the parties.
3.09
ASSIGNMENTS & SUB-CONTRACT
The bidder shall not assign, in whole or in part, its obligations to perform under the Contract except with
COMFED’s written consent to be taken within 15 days of award the contract/ purchase order.

The bidder shall notify the COMFED in writing of all subcontracts awarded under the contract if not
already specified in his bid. Such notification in his original bid or later, shall not relieve the bidder from
any liability or obligation under the contract act except with COMFED’s written consent to be taken
within 15 days of award the contract/ purchase order.

3.10
DELAYS IN BIDDER’S PERFORMANCE
Delivery of the goods and performance of the services shall be made by the bidder in accordance with
the time schedule specified by COMFED in assignment and scope of work issued by COMFED, which
shall be in the lines of time schedule agreed between COMFED and Bidder.
3.11
TERMINATION OF CONTRACT
(a). Termination for Default :COMFED may, without prejudice to any other remedy for breach of contract, by a written notice of
default sent to the bidder, terminate the contract in whole or in part: I.
II.
If the bidder fails to deliver any or all of the Goods within the timelines mentioned in the Work or
Purchase Order or any extension thereof, if any, granted by COMFED.
If the bidder fails to perform any other obligation(s) mentioned in the Work/ Purchase Order or
any other agreement entered with the Bidder for performance of the services or delivery of
supplies envisaged therein.
(b). Termination
COMFED may by prior written notice terminate the contract in whole or in part at any time. The notice
of termination shall specify that termination is for the COMFED’s convenience, the extent to which the
performance of work under the contract is terminated, and the date upon which such termination
becomes effective.
The Goods those are ready for shipment by the bidder within 30 days of the receipt of notice of
termination, shall be purchased by the COMFED at the contract terms and prices. For the remaining
goods, COMFED may decide (i) to have any portion completed and delivered at the Contract
Terms and prices (ii) to cancel the remainder and pay the bidder an agreed amount for partially
completed goods and for materials and parts previously procured by the bidder.
(c).Termination for insolvency
COMFED may at any time terminate the contract by giving written notice to the bidder, without any
compensation to the bidder. If the bidder becomes bankrupt or insolvent , provided that such
termination will not prejudice or affect any right of action or remedy which has accrued or will accrue
thereafter to the Purchaser.
3.12
FORCE MAJEURE
a. Should any force majeure circumstances arise, each of the contracting party shall be excused for the
non-fulfillment or for the delayed fulfillment of any of it’s contractual obligations, if the affected party,
within 15 days of its occurrence, informs the other party in writing.

b. Force majeure shall mean fire, floods, earth quake natural calamities or other acts, such as war, turmoil,
strikes, sabotage, explosions, quarantine and restrictions beyond the control of either party.
c. It is understood and agreed between the parties hereto that the rights and obligations of the parties
shall be deemed to be in suspension during the continuance of the force majeure event as aforesaid
and the said rights and obligations shall automatically revive upon the cessation of the intervening
force majeure event. The period within which the rights and obligations of the parties shall be in
suspension due to force majeure event shall not be considered as a delay with respect to the period of
delivery and/or acceptance of delivery under the contract or otherwise to the detriment of either party.
3.13
ARBITRATION & DISPUTE RESOLUTION
a. Informal Dispute Resolution: The Parties recognize that a bona fide dispute as to certain matters may
from time to time arise during the Agreement Term, which relates to either Party's rights or obligations
hereunder. In the event of the occurrence of such a dispute, either Party may, by written notice to the
other Party, have such dispute referred jointly ………………….of BIDDER or ……………….. or their
successors or counterparts, for resolution by good faith negotiations within 30 days after such notice is
received in respect of such disputes.
b. If such disputes, controversies or differences cannot be settled between the Parties as set out in above,
they shall be finally settled by arbitration under the provisions of the Arbitration and Conciliation Act
1996 and subsequent amendments thereto. The arbitration shall be conducted in English language by a
panel of three (three) members , one member selected by Bidder , one member selected by COMFED
and third member, who shall be the chairman , selected by agreement between the other two
members. The chairman shall be solicitor, and the other arbitrators shall have a background or training
of/ in computer, software, computer law, computer science etc. The award rendered by the Arbitrator
shall be final and binding upon both parties. Any such arbitration proceedings shall be held in Patna,
Bihar, India. Subject to the aforesaid provisions pertaining to arbitration, this agreement shall be subject
to the territorial jurisdiction of Patna Courts.
3.14
JURISDICTION
The contract shall be deemed to have been wholly made in Patna and all claims there under are
payable in Patna, Bihar and it is the distinct condition of the contract that no suit or action for the
purpose of enforcing any claim in respect of the contract shall be instituted in any Court other than that
situated in Patna, Bihar State, India.
3.15
RISK PURCHASE & TERMINATION OF CONTRACT
If the contract is not completed within the stipulated period, COMFED reserves the right to terminate the
contract and to get the order completed from alternative sources at the risk, responsibility and cost of
the Bidder. COMFED shall notify to the Bidder in case of poor performance/progress of the work
assigned. In case of corrective measure are not taken by Bidder to improve upon the performance
within seven days from the date of receipt of such notice, COMFED shall have the right to terminate the
contract either in full or in part and get the works completed by any other agency at the risk and cost
of the Bidder. Extra cost incurred in the process of termination and the getting the jobs done from
alternative source, if any, will be recovered from the Bidder either from the Security Deposit or from
pending bills and or to be recovered if necessary by due legal process, provided that such cost/liability
of Bidder shall not exceed to the total contract value . However COMFED shall be liable to pay off to
the Bidder the cost of the contract on pro-rata basis for the completion of the work. COMFED shall
have the right to terminate the contract due to commission of any illegal act or causing breach of

security by the Bidder or any of their men and agent, at the risk, cost and liabilities of the Bidder. This
contract shall be terminated by the COMFED in the event of declared bankruptcy of the Bidder.
3.16
FORECLOSURE AND EXPECTED MATTER
(a)For any reason whatsoever, if the COMFED intends, not to carry out work within the scope of this
tender/order, COMFED shall forward a written notice of foreclosure to the bidder advising the bidder to
stop all activities for implementation of this order forthwith.
(b)The bidder shall not be entitled to any compensation and/or damage for such foreclosure. However,
all Costs incurred by bidder as on the date of issuance of the notice of foreclosure and as would be
reasonably determined on the basis of documents submitted by the Bidder, shall be paid to the Bidder
within a period of 60 days from the date of determination of such cost after adjusting any amount paid
to or lying with the Bidder. With regard to determination of such cost, the decision of the officer to be
nominated by the Managing Director of COMFED in this regard shall be final and binding upon the
parties. Such matter, in all respects, shall be treated to be an “excepted matter” and shall not be
abatable in accordance with the Arbitration clause contained in this order.
3.17
TRANSFER OF THIS AGREEMENT
This Agreement shall be binding upon the Parties hereto and their successors, successors in interest,
assigns and any other party holding, acquiring, or owning a Property Interest.
3.18
OPERATIONAL GUARANTEES
The bidder shall give Operational guarantees covered in the contract; this includes guaranteed uptime
standard, system response time etc as specified in performance criteria and scope of work. As system
response time and other operational parameters are also dependent upon the hardware and network
infrastructure deployed, the Bidder is expected to advise COMFED on an appropriate systems
environment and landscape strategy.
3.19
OTHER TERMS
As specified in the tender documents for execution and completion of the work order or purchase order
shall contain the part of the contract agreement.

4.06
WARRANTY CERTIFICATE
This is to certify that everything to be supplied by us hereunder shall be brand new, free from all encumbrances,
defects and faults in material, workmanship and manufacture and shall be of the highest grade and quality
and consist of the established and generally accepted standard for materials of the type ordered and shall be
in full conformity with for the specifications, drawings or samples, if any, and shall operate properly. We shall be
fully responsible for its efficient and effective operation. This warranty shall survive inspection and payment for,
and acceptance of the goods, but shall expire after 36 (Thirty Six) months in respect of Networking Equipment
and 12 (Twelve) months in respect of all other goods after their successful installation and acceptance by
COMFED or any standard warranty time extended by the OEM whichever is higher.
The obligations under warranty expressed shall include all costs relating to all type of maintenance, spares,
labour cost and transport charges from our COMFED site to our manufacturing or maintenance site and back
and for repair/ adjustment/ replacement etc. of any spare parts of the equipment .

CHAPTER-06- FORMAT OF THE AGREEMENT

Agreement /Contract Form
This AGREEMENT made the ___day of _________ 2012 between Bihar State Milk Co-operative Federation Ltd,
having its office Dairy Development Complex, PO- BV College, Patna- 800 014 (herein after called the
‘Purchaser’) and _____________________ (Herein after called the supplier) _______________(Address).
WHEREAS the Purchaser is desirous to purchase and set up a Server Infrastructure as per the specification
indicated in chapter-5 of the Technical Bid of the tender document (Brief description of goods and services)
and has accepted a bid by the supplier for the sum of _________________(Contract price in words and figures,
herein after called the Contract Price)
Now this agreement witnesses as follows:
1. In this agreement words and expressions shall have the same meanings as are respectively assigned to them
in the Conditions of Contract referred to.
2. The following documents shall deem to form and be read and construed as part of this
Agreement viz:
(a) Complete Tender Document
(b) Technical & Financial bids and the Price Schedule submitted by the bidder.
(c) Instructions and Conditions of Contract.
(d) The Purchaser’s notification of award.

3. In consideration of the payments to be made by the purchaser to the Supplier as hereinafter mentioned, the
